Blue Cross of Idaho is seeking an Associate General Counsel, Corporate Development to provide hands-on legal leadership across mergers, acquisitions, joint ventures, strategic investments, restructurings, and other complex corporate and diversified business transactions supporting Gemstone Holdings and its affiliated entities. This position is embedded day-to-day with the Corporate Development team while remaining part of the enterprise Legal Department.
We are seeking a senior level, execution-oriented attorney who thrives in a fast-paced, deal-driven environment and partners closely with business leaders from initial structuring through post-closing execution. Experience supporting healthcare, insurance, or other highly regulated industry transactions is strongly preferred. Preference is for candidates located near Meridian, Idaho. This role may be remote from a mutually acceptable location; frequent travel to the Meridian campus is required for non‑local candidates. #LN-Hybrid
To be considered for this opportunity you have:
Experience: Eight or more years of progressively responsible experience in corporate transactional matters, including mergers and acquisitions, joint ventures, and strategic investments. In-house experience is strongly preferred; relevant senior law firm experience will be considered.
Education: Juris Doctor (JD) degree from an accredited law school.
Certifications/Licenses: Active membership in good standing with the Idaho State Bar or ability to acquire such status within one year of hire.
Additional Success Factors: Demonstrated ability to independently lead and execute complex transactions with limited supervision; strong executive judgment; comfort working directly with senior executives; and ability to operate effectively in a hands-on, deal-driven environment.
In this role, we will ask you to advise the company and senior leadership on a wide range of transactional matters, including:
Mergers and Acquisitions: Lead and perform legal due diligence; draft, negotiate, and interpret definitive transaction documents; and advise on transaction structure and integration-related risk mitigation.
Financial Investments: Provide hands-on legal support for equity and debt investments and other strategic capital activities, with direct drafting and negotiation responsibility as appropriate to the transaction.
Joint Ventures and Strategic Partnerships: Structure and negotiate joint ventures and other strategic partnership arrangements, including commercial terms, operational considerations, and regulatory issues.
Other Corporate Transactions: Provide legal support for restructurings, recapitalizations, and other strategic transactions supporting Gemstone Holdings and related initiatives.
Outside Counsel Management: Select, scope, and manage outside counsel on a targeted basis, while remaining personally responsible for core strategic and executional legal work and ensuring advice is aligned with business objectives.
Cross-Functional Partnership: Work shoulder-to-shoulder with the Corporate Development team, finance, and operational leaders to evaluate opportunities, identify risks early, and drive efficient execution from term sheet through closing and post-closing integration.
Compliance: Ensure proposed transactions comply with applicable local, state, and federal laws, regulations, and company policies.

As of the date of this posting, a good faith estimate of the current pay range is $179,901 to $269,850. The position is eligible for an annual incentive bonus (variable depending on company and employee performance). The pay range for this position takes into account a wide range of factors including, but not limited to, specific competencies, relevant education, qualifications, certifications, relevant experience, skills, seniority, performance, shift, travel requirements, internal equity, geography, business or organizational needs, and alignment with market data.
At Blue Cross of Idaho, it is not typical for an individual to be hired at or near the top range for the position. Compensation decisions are dependent on factors and circumstances at the time of offer.
