Job Description

Successful candidates for positions in the U.S. Bank Law Division consistently provide excellent advice and guidance to clients and colleagues on a variety of legal matters. The U.S. Bank Law Division is seeking an experienced attorney to join the Capital Markets Legal Team to support U.S. Bank’s Commodities business within Global Capital Markets. The attorney will provide a critical function advising internal clients (sales and trading personnel) and relevant support personnel (operations, compliance, documentation, credit and other functions) in the development and daily support of the Commodities business. Such work will include the establishment of policies and procedures, new product and project support and the handling of day-to-day business line client needs.

The position offers candidates a career with exposure to a variety of legal issues and the opportunity to support and help build the foundation for a growing business unit, while collaborating with various departments and individuals at U.S. Bank. While being the main legal coverage for Commodities, the role sits within a group of collaborative, collegial and experienced legal professionals. Salary may be adjusted to be commensurate with experience and expertise.

RESPONSIBILITIES

  • Advise business units and other support partners regarding commodity derivatives, relevant swap dealer and banking regulations and related risks in a fast-growing, fast-paced environment.
  • Support non-derivative traded products including physically-settled commodity spot and forward transactions, leasing arrangements, financing, purchase and sale agreements, including regulatory, documentation and project-related legal work.  
  • Actively participate in line of business projects, e.g. new and modified products, regulatory change.
  • Support structured transactions and funding deals, ABS work.
  • Draft swap dealer templates and deal documentation, advise and negotiate ISDA documentation, cover structured commodity transactions, vanilla and complex trade confirmations and related client agreements.
  • Support international and cross-border issues as applicable.
  • Actively participate in relevant market, legal and regulatory initiatives in order to serve as a strategic partner to business management.
  • Become familiar with relevant U.S. Bank policies and procedures, ranging from AML/KYC matters to bank regulatory matters such as the Volcker Rule.

ADDITIONAL RESPONSIBILITIES MAY INCLUDE

  • Review agreements with third-party providers of technology, clearinghouses, exchanges, storage agreements and other services.
  • Review debt and loan documentation and related documentation for swap terms.

QUALIFICATIONS

  • Law degree from an accredited institution.
  • Licensed in good standing to practice law in at least one jurisdiction.

PREFERRED SKILLS/EXPERIENCE

  • Ten to fifteen (10-15+) years of material, relevant experience as an attorney in a law firm and/or as in-house counsel or equivalent, commodity derivatives, ideally in precious metals and other physical markets, ideally including interest rate swaps, foreign exchange and/or credit derivatives.
  • Significant experience supporting CFTC-registered swap dealer(s) and advanced knowledge of applicable laws and regulations thereof.
  • Extensive experience and confidence working with derivatives agreements and ancillary documentation.
  • Working knowledge of bank regulatory laws and regulations.
  • Experience with online trading platforms, clearinghouses and exchange-traded products.
  • Excellent analytical, decision-making and problem-solving skills.
  • Excellent written, verbal, and interpersonal communication skills.
  • Ability to collaborate confidently and effectively with a diverse range of stakeholders, including senior leaders.
  • Ability to assess risks and provide thoughtful advice in a fast-paced environment.
  • Ability to handle multiple tasks and projects and pivot coverage in line with shifting business priorities.

LOCATION REQUIREMENTS
This role requires working from a U.S. Bank location three (3) or more days per week.

The salary range reflects figures based on the primary location, which is listed first. The actual range for the role may differ based on the location of the role. In addition to salary, U.S. Bank offers a comprehensive benefits package, including incentive and recognition programs, equity stock purchase 401(k) contribution and pension (all benefits are subject to eligibility requirements). Pay Range: $194,225.00 - $228,500.00
