A nationally respected nonprofit healthcare association serving one of the country's largest faith-based healthcare networks is seeking an Associate Director, Governance to join its Legal & Governance team in Washington, DC. This is an exceptional opportunity for an experienced governance professional who thrives in a highly visible role supporting executive leadership and a Board of Trustees while helping advance the mission of a mission-driven organization.

Reporting directly to the Vice President & General Counsel, this position serves as the primary liaison to the Board of Trustees, ensuring exceptional governance practices, seamless board operations, and a first-class experience for board members and executive leadership. The ideal candidate is highly organized, polished, and enjoys managing complex projects while building strong relationships across all levels of an organization.

What You'll Do as the Associate Director, Governance:

  • Serve as the primary liaison to the Board of Trustees, committee members, executive leadership, and administrative staff
  • Plan, coordinate, and execute Board of Trustees and committee meetings, including both in-person and virtual meetings
  • Prepare agendas, board books, meeting materials, resolutions, governance communications, and executive briefing documents
  • Draft, edit, and maintain accurate board and committee minutes and governance records
  • Administer the organization's board management platform and governance systems
  • Coordinate board recruitment, officer elections, committee appointments, onboarding, and orientation activities
  • Manage governance calendars, board communications, and annual governance processes
  • Coordinate meeting logistics, travel, vendors, technology, and onsite meeting execution
  • Track governance metrics and recommend process improvements that enhance board effectiveness
  • Lead governance-related projects while ensuring compliance with organizational policies and governance best practices
  • Partner closely with the Vice President & General Counsel on strategic governance initiatives

Must-Haves as the Associate Director, Governance:

  • Bachelor's degree or equivalent professional experience
  • 5-7+ years of experience supporting corporate governance, board relations, executive operations, nonprofit administration, association management, or similar functions
  • Experience working directly with Boards of Directors, Boards of Trustees, executive leadership, or governing committees
  • Outstanding written communication, editing, proofreading, and document preparation skills
  • Exceptional organizational and project management abilities
  • Advanced proficiency with Microsoft Office and Adobe Acrobat
  • Experience coordinating executive meetings and managing confidential information with discretion
  • Professional presence with the ability to interact confidently with senior executives and board members
  • Ability to manage multiple priorities while maintaining exceptional attention to detail

Nice-to-Haves as the Associate Director, Governance:

  • Experience with BoardEffect, Diligent, or similar board management platforms
  • Knowledge of nonprofit governance practices
  • Familiarity with parliamentary procedure
  • Experience supporting legal, governance, or executive leadership teams
  • Experience within nonprofit, healthcare, membership association, or mission-driven organizations

This Role Offers:

  • Competitive base salary of $96,000-$120,000, depending on experience
  • Hybrid work schedule with only three in-office days per month in Washington, DC
