POSITION OVERVIEW
We are seeking an experienced Associate Counsel, Project Finance to join our Legal team. This individual will support the structuring, negotiation, and closing of non-recourse project financings and related transactions for TransGrid Energy’s renewable energy portfolio (utility-scale solar, storage, and select distributed generation). The Associate Counsel, Project Finance will partner closely with project finance, development, and capital markets teams to ensure transactions are executed efficiently, documents are market-standard, and risks are identified and mitigated.
RESPONSIBILITIES
Lead and manage legal workstreams for project-level debt, tax equity, tax credit transfer and back-leverage financings from term sheet to closing.
Draft, review, and negotiate financing documents including credit agreements, security documents, intercreditor agreements, depositary agreements, and tax equity LLC agreements.
Coordinate due diligence across internal stakeholders and external counsel; identify and resolve issues across permitting, interconnection, real estate, and offtake agreements.
Support commercial negotiations on PPAs, VPAs, hedges, EPC, and equipment supply agreements to ensure financeability.
Advise on project company formation, governance, and compliance matters.
Monitor developments in energy finance and tax-credit structuring to provide proactive legal advice.
Manage outside counsel and maintain efficient transaction execution processes.
Support potential M&A, project sales, and refinancing opportunities.
REQUIRED QUALIFICATIONS
J.D. from an accredited law school; admitted to practice in at least one U.S. jurisdiction.
3–7 years of post-bar experience at a law firm with a strong project finance practice representing sponsors/developers or lenders in renewable energy transactions.
Experience drafting and negotiating core project finance and tax equity documents.
Strong understanding of renewable project development and financing structures.
Excellent written and oral communication skills.
Strong analytical skills and attention to detail.
Collaborative and adaptable with the ability to manage multiple priorities.
WORK AUTHORIZATION
The ideal candidate for this role will have authorization to work in the U.S. prior to joining TransGrid Energy LLC. The Company will not sponsor or offer assistance with the sponsorship for work authorization in the United States.
