Summary
The Associate, Company Secretarial supports corporate governance and company secretarial matters for the company and its affiliated entities in Japan, under supervision, ensuring compliance with applicable statutory and regulatory requirements.
The role assists entity-related matters including preparation of corporate documents, coordination of corporate actions, regulatory filings, and maintenance of corporate records to ensure proper corporate governance and regulatory compliance.
In addition, the position supports land-related matters, including coordination with internal teams to verify land rights status, maintenance of land records and project land lists, and submission for regulatory reporting related to land use and land acquisition.
The position works closely with internal teams such as Investment, Finance and Asset Management, as well as external advisors including judicial scriveners, to support corporate activities and land-related matters are conducted in compliance with applicable laws and internal governance requirements.
This role performs tasks under supervision and escalates matters as appropriate.
Key Responsibilities
- Assist corporate secretarial matters for group entities in Japan
- Prepare corporate documents such as shareholders’ resolutions, members’ consent, determination of directors, and managing member resolutions
- Assist in preparing corporate registration filings with the Legal Affairs Bureau in connection with corporate actions such as incorporation, share transfer, capital changes, mergers, and liquidation
- Assist in preparing and coordinating statutory announcements in the official gazette and newspaper
- Support regulatory filings and reporting to relevant authorities, including filings under the Foreign Exchange and Foreign Trade Act (e.g. BOJ filings), construction business license related procedures, and notifications related to Qualified Institutional Investor (QII) structures
- Support land-related regulatory compliance matters, including preparation and submission of land transaction notifications (土地売買等届出書) to relevant local governments under the National Land Use Planning Act
- Maintain and update project land lists and land-related records in coordination with internal development teams
- Assist in preparing documentation for project financing and other funding arrangements
