Job Summary:
Provide support to attorneys advising the Corporate business of Cohen & Steers, Inc., a NYSE-listed global asset management company. Primary responsibilities include assisting with corporate governance matters, document management and recordkeeping, regulatory filings and public disclosure, and related administrative matters for Cohen & Steers, Inc., Cohen & Steers Income Opportunities REIT, Inc., a non-traded REIT (CNSREIT), and four international operating affiliates. Major Responsibilities/Activities:
Directly support corporate attorneys with regard to Cohen & Steers’ public company and reporting matters as well as for CNSREIT and four international operating affiliates, including:
- Board/committee meetings attendance and preparation, including arranging board materials, attending meetings in person and managing on-the-ground day-of support.
- Ongoing and direct interaction with directors and members of senior management.
- Preparation, drafting and review of SEC filings.
- Corporate governance and compliance, including preparation of corporate reports and filings and correspondence with the NYSE.
- Earnings releases and earnings conference calls, including supporting in-person elements tied to earnings releases and related calls in office.
- Maintenance of minute books and corporate records.
- Corporate press releases.
- Collection and processing of director and officer questionnaires.
Provide ongoing support for general corporate and potential strategic matters, including:
- Providing daily support working closely with attorneys and internal business teams requiring regular interpersonal coordination on corporate governance matters, regulatory filings and disclosures.
- Providing on-the-ground support for corporate and strategic transactions, reorganizations, public company securities offerings and issuances and other significant events.
- Contributing to the review of commercial and vendor contracts as well as non-disclosure agreements.
- Managing the execution and retention of original corporate documents.
- Maintaining legal entity records, organizational charts and subsidiary information for domestic and international affiliates.
- Administering and maintaining corporate compliance policies.
Minimum Requirements:
- 1 to 3 years relevant experience.
- Bachelor’s Degree.
- Experience with Microsoft Office Suite and the ability to learn new databases/programs quickly.
- Be careful and thorough, with particular attention to detail.
- Be a self-starter with the ability to exercise independent judgment as well as multitask and manage multiple assignments concurrently.
- Be an intelligent, bright, conceptual thinker with strong analytical skills and the ability to quickly assess a situation and generate new insights and usable ideas.

- Agrees to comply with the firm’s hybrid work policy (“work from home policy,” as aligned with the Company’s employee handbook), which currently requires reporting to the Company’s New York City office four (4) days per week, with one (1) remote workday permitted.
