THE ROLE

As we continue to grow our company, we are looking for a highly qualified attorney to work on general commercial and corporate transactions, including M&A, financing, equity, employment, real estate, and international corporate work. The candidate will review commercial agreements and assist with M&A, joint ventures and other strategic transactions. This is a hybrid role based out of our NYC office.

 Primary Job Responsibilities

• Manage all aspects of execution of strategic transactions, including stock and asset acquisitions:
• Draft and negotiate transaction documents.
• Review due diligence.
• Prepare closing documentation and assist with transaction closings.
• Manage post-transaction legal matters
• Draft, review, negotiate and interpret a wide variety of commercial agreements, such as SAAS; licensing; information technology; marketing; services and confidentiality agreements.
• Assist in the development of policies, procedures and training as needed.
• Keep up to date with proposed and new corporate regulations to evaluate the potential impact on the company and arrange for new policies and procedures to ensure compliance.
• Collaborate internally with sales, marketing and finance teams and externally with outside legal counsel.

Required Skills

• Excellent academic credentials, JD degree, and admitted to practice law in at least one state.
• 3+ years of experience as a corporate attorney.
• At least 3 years of law firm experience.
• M&A experience
• A team player who can effectively work with other attorneys and legal professionals.
• Ability to quickly assess business challenges, make timely, pragmatic recommendations under pressure and identify, prioritize and resolve issues quickly and independently.
• Excellent communication and project management skills.
• Inquisitive, enthusiastic about technology, marketing and data, diligent, hard worker, enjoy being continually challenged, and demonstrate sound judgment even in ambiguous situations.

SALARY RANGE 

The salary range for this role is $170,000 - $180,000.00, depending on location and experience.
