QPWB is seeking a highly motivated Associate Attorney to join our nationally recognized Business Law and Commercial Litigation Practice Group. This position offers the opportunity to work directly with Rafael Zahralddin, National Practice Group Leader and Managing Partner of the Wilmington office, on sophisticated corporate, commercial, bankruptcy, governance, restructuring, and international business matters.
The ideal candidate will possess strong analytical, writing, and advocacy skills and a desire to handle complex litigation and transactional matters involving domestic and international clients.
Responsibilities:
• Manage commercial litigation matters from inception through resolution in state and federal courts.
• Draft pleadings, motions, briefs, discovery requests, discovery responses, and legal memoranda.
• Conduct legal research and provide strategic analysis on complex corporate and commercial issues.
• Participate in depositions, hearings, mediations, arbitrations, and trial preparation.
• Assist with corporate governance disputes, shareholder litigation, fiduciary duty matters, and business tort claims.
• Support bankruptcy, restructuring, creditors' rights, and Chapter 11 matters.
• Assist with mergers and acquisitions transactions, due diligence reviews, and transactional documentation.
• Analyze regulatory and compliance issues involving privacy, cybersecurity, FCPA, and international trade matters.
• Communicate directly with clients, opposing counsel, experts, and courts.
• Prepare client reporting, litigation assessments, and risk analyses.
• Collaborate with partners on sophisticated domestic and cross-border business matters.
Qualifications:
• J.D. from an accredited law school.
• Licensed and in good standing in Delaware or eligible for admission.
• 2–7 years of litigation or corporate law experience preferred.
• Strong legal writing, research, and analytical abilities.
• Experience with commercial litigation, corporate law, bankruptcy, restructuring, or business transactions preferred.
• Excellent organizational and project management skills.
• Ability to manage multiple deadlines in a fast-paced environment.
Preferred Experience:
• Delaware Court of Chancery matters.
• Corporate governance disputes.
• Bankruptcy and creditors' rights litigation.
• Mergers & acquisitions transactions.
• International business or cross-border matters.
