Job Description:

At Regions, an Assistant General Counsel will have the opportunity to provide legal advice and guidance to clients and colleagues on a wide variety of legal issues. Primary Responsibilities

  • Assists and partners with business units to provide practical legal advice on issues related to complex business and banking matters
  • Provides strategic, pragmatic, and trusted legal advice to business units
  • Advises management as to the interpretation of laws and regulations and on new and recent changes in laws and regulations that affect the Bank
  • Monitors and remains up to date on emerging legislative developments that may affect the Bank
  • Participates in line of business-initiated projects such the drafting of policies and procedures on new regulations and amendments or new interpretations of existing regulations
  • Provides seasoned assessment of legal risk when business decisions are made, demonstrating consideration for the Bank’s reputation as well as our clients and assets
  • May work with outside counsel on legal issues impacting the Bank
  • May lead other Assistant General Counsel, specialist, or paralegal staff
  • May provide assistance with training bankers, associates, operational staff, and customer support staff on legal issues

This position is exempt from timekeeping requirements under the Fair Labor Standards Act and is not eligible for overtime pay.

This position is incentive eligible.           

Requirements

  • Law Degree
  • Licensed in good standing to practice law in at least one jurisdiction
  • Six (6) years of legal experience at a regulatory agency, in the financial services industry, or at a law firm with strong knowledge of bank regulations or other relevant practical legal experience

Additional Responsibilities:

• Drafts, reviews, negotiates, and approves a broad range of vendor contracts, including master agreements, statements of work, subscription agreements, software licenses, and nondisclosure agreements.

• Partners with Procurement, business stakeholders, Cyber Security, Privacy, Third Party Risk Management, Compliance, and other control functions to identify and mitigate legal and regulatory risks.

• Advises on contract provisions involving data privacy, information security, artificial intelligence, intellectual property, confidentiality, and regulatory compliance.

• Balances legal risk management with business objectives to facilitate timely execution of strategic initiatives and vendor relationships.

• Develops and maintains contract templates, negotiation guidance, playbooks, and other tools to drive consistency, efficiency, and risk mitigation.

• Supports enterprise initiatives by assessing contractual, operational, and legal risks associated with new products, services, and technologies.

• Manages complex negotiations with vendors and internal stakeholders while providing practical, business focused solutions.

• Monitors legal and regulatory developments affecting third party contracting and procurement practices and advises on necessary process or contract updates.

• Contributes to continuous improvement efforts by enhancing contracting processes, reporting, training, and governance to improve efficiency and strengthen risk management.

Compensation Details

Pay ranges are job specific and are provided as a point-of-market reference for compensation decisions. Other factors which directly impact pay for individual associates include: experience, skills, knowledge, contribution, job location and, most importantly, performance in the job role. As these factors vary by individuals, pay will also vary among individual associates within the same job.

The target information listed below is based on the Metropolitan Statistical Area Market Range for where the position is located and level of the position.

$110,470.25 USD

Median:

$157,150.00 USD

Incentive Pay Plans:

This role is eligible to participate in the annual discretionary incentive plan. Employees are eligible to receive a discretionary award based on individual, business, and/or company performance.Opportunity to participate in the Long Term Incentive Plan.
