What the Legal Department contributes to Cardinal Health
The Legal Department is responsible for providing legal advice, counsel and related services to Cardinal Health’s business units. The Legal team drafts and negotiates contracts, participates in and provides input on business strategy and legal risks, receives and refers matters to Regulatory and Compliance Departments’ subject matter experts and manages those matters to conclusion and otherwise acts as the primary legal counsel for the business unit clients.
The corporate legal team provides the company with strategic, proactive, practical and cost-effective legal advice and services in order to enable the company to effect its business strategies and protect the organization's assets, operations and reputation. This function provides legal counsel related to corporate securities and governance, and transactional support, among other areas.
Job Summary
This position is a director-level role and will be part of Cardinal Health’s corporate legal team focusing on securities reporting work and other corporate matters. This role will be responsible providing legal advice, counsel and related services to Cardinal Health’s corporate function in all aspects of securities and corporate work.
Responsibilities
Assist in the preparation of SEC filings, including routine filings such as Forms 10-K, 10-Q, 8-K and Proxy, and other securities law matters, including research, drafting and coordination with internal stakeholders
Provide legal advice on disclosure matters, including earnings releases, disclosure related to strategic transactions and other investor and media communications to ensure compliance with applicable regulations and standards
Assist with certain corporate governance matters, such as the Annual Shareholder Meeting, analysis of Director Independence and Related Person Transaction standards, preparing or reviewing resolutions or other internal approval communications
Advise on certain executive compensation and benefits plans matters, including disclosure implications related thereto
Conduct legal research and stay updated on securities laws and regulations that may be applicable to the company
Assist with certain corporate transactions as needed, including internal reorganizations, credit facilities or capital markets transactions, discrete purchases or sales of assets, etc.
Qualifications
J.D. required; record of high academic achievement in the undergraduate level and in law school preferred
License to practice law in Ohio or licensed in the jurisdiction in which you live and work required
4-7 years of experience in a nationally recognized law firm or comparable in-house experience preferred
Experience working on public company reporting, including Forms 10-K, 10-Q and 8-K
Experience with executive compensation and related disclosure matters
Excellent communication skills, both written and oral
Ability to work independently while acting with an appropriate sense of urgency in a fast-paced environment
Good business acumen and ability to provide advice with a strategic, commercial focus
Strong personal ethics
Ability to travel
