Provides legal counsel on commercial lending, credit matters, secured transactions, and regulatory compliance. Responsibilities include structuring, drafting, negotiating, and overseeing finance transactions; developing lending policies and controls; advising business stakeholders; managing outside counsel; conducting legal research; and supervising assigned staff. The role requires a Juris Doctor and at least five years of relevant legal experience, with strong commercial finance, UCC, real property, regulatory, communication, and Microsoft Office skills.

Performs enhanced due diligence and complex KYC reviews for high- and moderate-risk banking customers. Analyzes customer information, ownership structures, entity documentation, and AML risks; conducts periodic and event-driven reviews; documents findings; supports audits and regulatory examinations; and collaborates with lending, operations, relationship managers, and other business partners on BSA, AML, KYC, and OFAC compliance programs.

Leads enterprise operational risk programs, including operational loss, scenario analysis, risk and control assessments, controls testing, third-party risk, policy governance, and technology risk. Partners across lines of defense to strengthen risk frameworks, reporting, tools, governance, and regulatory compliance. Monitors emerging risks, evaluates impacts, improves processes and data quality, and prepares actionable reporting for senior management and risk committees.
