Leads legal structuring, negotiation, and closing of private equity primary and co-investment transactions. Manages structuring staff, negotiates investment and financing documents, oversees tax and investment vehicle structuring, handles investor restrictions and onboarding, and coordinates with legal, operations, finance, treasury, and tax teams. The role also supports fund sales, regulatory compliance, process improvements, training, and timely deal funding across multiple jurisdictions.

Serve as senior counsel for the formation, structuring, registration, governance, and ongoing operation of 40 Act registered funds investing in private markets and illiquid alternatives. Advise on SEC filings, affiliated transactions, co-investments, compliance policies, conflicts, valuations, board matters, regulatory examinations, fund documentation, and investment transactions. Partner with investment, sales, tax, finance, operations, compliance, and external counsel teams while supporting corporate legal matters and Pantheon’s US retail and semi-liquid product strategy.

Lead sourcing, diligencing, execution and monitoring of European infrastructure and real assets primary funds, secondaries and co-investments. Manage financial modelling, investment materials, transaction negotiation/closing, client/fundraising engagement, external representation, and mentor junior investment team members while ensuring regulatory compliance.
