Supports corporate legal and compliance activities for a crypto-focused business, including SEC filings, corporate governance, entity management, contracts, legal documentation, investor relations, disclosure controls, and coordination with external counsel and service providers. Maintains corporate records, prepares board materials and resolutions, manages compliance calendars, coordinates signatures and filings, and conducts legal research.

Securities Counsel will manage SEC filings, securities compliance, public disclosures, capital markets transactions, Nasdaq requirements, corporate governance, commercial agreements, M&A support, and regulatory matters. The role advises internal teams on securities laws, financing structures, and operational legal issues while coordinating with investors, regulators, and outside counsel. Candidates need a law degree, active bar membership, and 4–7 years of corporate and securities law experience.

Lead legal support for M&A, investments, joint ventures, strategic partnerships, cross-border transactions, and significant commercial agreements. Responsibilities include structuring and negotiating deals, managing due diligence and closing workstreams, advising on legal risks, supporting corporate governance and securities matters, coordinating outside counsel, and providing practical guidance on operational legal issues. The role also helps develop scalable legal processes for a U.S. public company.
