Negotiate and manage high-volume pre-M&A contracts, including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters. Serve as the primary legal contact for investment fund and asset manager clients, maintain contract playbooks, mentor junior lawyers and paralegals, and help improve Carta’s AI-backed legal technology suite.

Manage early-stage venture financing transactions for founders and venture capital funds, including term sheets, diligence, negotiations, signing, and post-closing work. Review and negotiate SAFEs, convertible notes, and priced-round agreements while advising on cap table, governance, and corporate matters. Supervise paralegals, develop deal playbooks, build client relationships, support business development, and partner with technology teams to improve AI-enabled legal workflows.

Own complex KYC engagements from intake through resolution, reviewing documentation and entity structures for AML and KYC compliance across US, UK, and EU regimes. Maintain accurate records, resolve issues, monitor regulatory changes, communicate with clients and counterparties, and escalate appropriately. The role also mentors junior analysts, improves processes, and supports high-volume compliance operations involving private markets and offshore jurisdictions.
