We are seeking an Contracts Manager - International to join our team. This is a hybrid opportunity based out of our Uxbridge, UK office.
Job Summary
The Contracts Manager - International is responsible for working proactively as a liaison and
business partner with the global enterprise sales and services organizations to facilitate the
revenue generation and legal review processes. The position will provide legal support to internal
clients at all levels for Imprivata's international commercial operations and day-to-day initiatives.
The position requires a team player who can provide quality work product with minimal supervision
in a very fast-paced, high-energy environment. This position reports to the Senior Manager, Legal
Operations.
Duties and Responsibilities
- Ensure compliance with legal, contractual, and risk management policies in order to
minimize and limit corporate liability, manage risk, and optimize value of contracts. - Identify contractual risks and issues and suggest alternatives that lead to optimal
solutions both independently and in collaboration with other legal team members. - Liaise with US and international finance, sales operations, support and other business
units at all levels throughout the organization. - Partner with sales & channel team members to ensure that the contracting process is
efficient. - Manage the review and negotiation of certain contracts and amendments relating to
the relevant product. - Assist in the completion of public tenders and RFPs.
- Review and negotiate partner and reseller agreements to support our international
partner landscape. - The Contracts Manager - International operates with limited supervision, and therefore
requires a high level of balanced judgment and an ability to independently discern and
establish priorities. Agility and willingness to learn about various subject matters (both
from a legal and business perspective) are highly valued.
Qualifications
- 3-5 years experience drafting, reviewing and negotiating software-related contracts
and related agreements - Team player with a commitment to developing strong collaborative relationships with
legal colleagues, clients and cross-functional teams - Experience preparing and negotiating software license agreements and other
technology related agreements. SaaS licensing experience and healthcare
experience is preferred. - Strong contract and legal negotiation skills with experience working with enterprise
customers and supporting enterprise sales teams. - Ability to understand complex contractual issues, assess risk and provide concise
business-focused legal advice. - Self-motivated, with the ability to manage and regularly prioritize workload to meet
deadlines and adjust to fluctuations in workload. - Possess a practical, real world, collaborative approach to problem solving in the
context of enterprise sales with the ability to make sound decisions and exercise good
judgment. - Excellent oral and written communication skills, fluency in both German and English
required. - Proficiency in Microsoft Office such as Word, Excel, PowerPoint, Outlook and
computer database programs. - Understanding of German procurement law, including The Hospital Future Act.
(KHZG), preferred. - Understanding of EU data privacy laws and regulations preferred.
