Job Description:
The VP, Associate General Counsel, M&A and Integration Management Office (IMO) will serve as the integral legal liaison between Discover's Legal Department, the M&A and IMO, all other stakeholders within Discover, and relevant third parties. This role will manage all integration strategies and activities related to Discover's Legal Department that align with the company's acquisition and divestiture strategy. Also, this role is responsible for working with leadership across various business units and functions, external stakeholders, and outside counsel to drive strategic alignment and legal risk management.
Excels at cross-functional project management, identifies legal risks and develops strategic solutions for critical issues arising during the M&A and integration process, and drives the development and execution of integration plans of the Legal Organization by collaborating with the necessary teams and employees.
Responsibilities
- Serve as the Legal Department's primary point of contact for all M&A integration activities.
- Develop strategic cross-functional project and process management responsibilities for the Legal Organization's M&A and IMO functions and ensure tactical execution of same.
- Drive the development of integration plans by collaborating with various teams to define activity sequence, estimate duration and determine schedules.
- Identify legal risks and develop strategic solutions for critical issues that arise during the Legal Organization's M&A and integration process. Develop and implement solutions for critical issues that arise during the M&A and integration process.
- Train others about information sharing protocols and uphold the need for commercial confidentiality during transition periods.
- Identify sub-teams and leaders for each legal specialty and hold sub-teams accountable to ensure effective, timely and compliant integration activities, including contract reviews across various business units.
- Mobilize internal resources and external partners to ensure effective and timely delivery and risk management.
- In addition to M&A and integration activities, support the Office of the Corporate Secretary with a focus on internal governance.
- Such other duties as assigned by the General Counsel or SVP, Deputy General Counsel, Corporate Governance.
Minimum Qualifications:
- J.D. from Accredited University
- 15+ years of Legal, M&A, and Integration experience or related
- 12+ years of project management, process management, program management, strategic planning, consulting, negotiation, or related
