Vice President, Mergers & Acquisitions (M&A)

The Mergers & Acquisitions Group advises corporate and financial sponsor clients on strategic transactions, including acquisitions, divestitures, mergers, joint ventures, recapitalizations, and other value-enhancing opportunities. The team partners closely with industry coverage, capital markets, and product groups globally to deliver innovative solutions and execute complex transactions for clients across a broad range of industries.

Job Description:

The Vice President serves as a key leader in the execution of M&A transactions and supports business development and origination efforts, working closely with Managing Directors, Directors, clients, and cross-functional partners. The role combines transaction execution, client relationship management, team leadership, and strategic advisory responsibilities.

Vice Presidents are expected to independently manage significant portions of live transactions and business development initiatives while mentoring junior bankers and contributing to the overall success of the franchise.

Responsibilities:

  • Lead the execution of multiple mergers and acquisitions transactions concurrently, including acquisitions, divestitures, mergers, strategic alternatives reviews, and other advisory assignments, serving as the primary execution lead responsible for coordinating transaction workstreams, managing timelines, and ensuring high-quality execution.
  • Manage day-to-day transaction processes, including running due diligence processes, reviewing and commenting on legal documents, negotiating transactions, obtaining internal approvals, and proactively identifying and resolving execution issues to ensure adherence to client timelines.
  • Develop and review complex financial analyses, including merger models, discounted cash flow analyses, LBO analyses, accretion/dilution analyses, and other transaction-related work products.
  • Lead the preparation of client presentations, board materials, fairness opinion analyses, and other strategic advisory deliverables, and present these materials to clients and internal teams at meetings and on conference calls.
  • Effectively manage, mentor, and develop Analysts and Associates, providing clear direction and timely feedback, reviewing and quality-controlling work product, allocating resources efficiently across transactions, supporting their technical growth and professional development.
  • Communicate effectively with clients, advisors, counterparties, internal stakeholders, and other transaction participants throughout the deal process to ensure alignment and efficient issue resolution.
  • Conduct industry, company, and market analysis to support transaction execution and client engagement activities.
  • Coordinate closely with industry coverage teams, capital markets professionals, and other product partners to deliver integrated client solutions.
  • Build and maintain strong client relationships while developing a deep understanding of client objectives and industry dynamics.
  • Work closely with senior bankers to identify opportunities, generate strategic ideas, and support business development and client coverage efforts.
  • Support recruiting, training, and talent development initiatives within the investment banking platform.

Qualifications:

  • Bachelor's degree and 5+ years of experience in investment banking, M&A advisory, corporate development, or a related role at a leading financial institution or Master's degree in Business Administration, Finance, Economics, Business Analytics, Accounting, or related field and 3+ years of relevant experience or equivalent work experience.
  • Strong understanding of mergers and acquisitions transactions and various valuation methodologies including DCF, LBO, accretion / dilution analysis, sum-of-the-parts analysis, public trading comparables, precedent transactions.
  • Advanced financial modeling and analytical capabilities.
  • Demonstrated experience executing complex strategic transactions from beginning to end.
  • Excellent project management skills with the ability to manage multiple priorities in a fast-paced environment.
  • Strong written and verbal communication skills with the ability to interact effectively with senior executives and clients.
  • Proven leadership experience managing and developing junior professionals.
  • Ability to work independently while contributing effectively within a collaborative team environment.

Pay and benefits information

Pay range$275,000.00 - $275,000.00 annualized salary, offers to be determined based on experience, education and skill set.

Discretionary incentive eligible

This role is eligible to participate in the annual discretionary plan. Employees are eligible for an annual discretionary award based on their overall individual performance results and behaviors, the performance and contributions of their line of business and/or group; and the overall success of the Company.
