Transaction Manager (m/w/d)

About the Role:
We are looking for a Transaction Manager to join our growing Capital Markets team in Frankfurt, Germany. In this role, you will work closely with leading international businesses operating in the German market. You'll be responsible for managing structured finance transactions and providing corporate and trustee services to our clients, ensuring a high standard of service and compliance.
Key Responsibilities:
Transaction Management
- Manage a portfolio of securitisation and structured finance transactions, including CMBS, RMBS, consumer credit, CLOs, and auto receivables.
- Act as the main point of contact for clients, internal teams, and external stakeholders.
- Ensure all transactions are fully understood and handled in line with internal procedures.
- Draft service agreements, fee letters, and supporting documentation.
- Oversee transaction processes from onboarding and documentation to execution and ongoing management.
- Maintain accurate records and ensure timely completion of all internal processes.
Corporate Secretarial Services
- Manage all company secretarial duties for allocated SPVs.
- Organise and prepare board meetings, ensuring legal and procedural compliance throughout the lifecycle of each SPV.
Business Development
- Build and maintain strong client and intermediary relationships.
- Participate in client meetings, including occasional business travel.
- Ensure high-quality and accurate client files in accordance with internal standards.
Compliance
- Follow the client acceptance process and support ongoing compliance reviews.
- Monitor transactions to ensure regulatory compliance, including Market Abuse Regulations.
Client Invoicing
- Record billable hours accurately and prepare client billing files.
- Review and support the timely settlement of client invoices.
Your profile:
- You have the legal right to work in Germany without sponsorship.
- You bring experience in German Corporate Services, Capital Markets, or legal/Co-Sec environments.
- You are fluent in both English and German, written and spoken.
- You have a detail-oriented approach, strong communication skills, and a client-focused mindset.
