Job duties:
Work hybrid remote. We have offices throughout the state of Delaware.
· Advise clients on federal, state, and local tax matters, including structuring transactions to optimize tax efficiency and minimize risk.
· Analyze tax implications of corporate transactions such as mergers and acquisitions, reorganizations, financings, and entity formations.
· Conduct legal research and draft tax memoranda, opinion letters, and technical analyses on complex tax issues.
· Represent clients in tax controversy matters, including audits, administrative appeals, and disputes before the Internal Revenue Service and state taxing authorities.
· Counsel clients on Delaware-specific tax considerations in connection with entity formation and governance.
· Negotiate and resolve tax disputes, including settlements and voluntary disclosures where applicable.
Required:
- Recent experience in tax law
- DE bar
