The Senior Vice President, Associate General Counsel serves as a key strategic legal advisor to executive management and the Board of Directors, providing legal leadership across corporate, regulatory, transactional, governance, and risk management matters. This role partners closely with C-suite executives, business leaders, and external counsel to advance Axos Bank’s strategic objectives while ensuring compliance with applicable laws, regulations, and corporate governance standards.
The SVP, Associate General Counsel provides legal advice on a variety of legal matters, including, without limitation, mergers and acquisitions, corporate finance transactions, real estate finance transactions, governance matters, regulatory issues, and complex commercial arrangements. The position supports business growth, identifies and mitigates legal and reputational risk, and helps execute key corporate initiatives in a highly regulated environment.

Responsibilities:

  • Serve as a trusted legal advisor to the C-suite, senior leadership, and the Board of Directors on strategic business, legal, governance, and regulatory matters
  • Provide legal counsel on mergers and acquisitions, strategic investments, divestitures, joint ventures, and other significant corporate transactions, including due diligence, structuring, negotiation, closing, and integration support
  • Advise on corporate finance matters, including debt and equity offerings, securitizations, capital markets activities, credit facilities, and other financing transactions
  • Support corporate governance programs, Board and committee activities, shareholder matters, corporate policies, and compliance with applicable governance requirements
  • Lead the drafting, review, negotiation, and execution of complex transaction documents and commercial agreements
  • Identify, assess, and mitigate legal, regulatory, operational, financial, and reputational risks while balancing legal requirements with business priorities
  • Provide timely, practical, and solution-oriented legal support to business units and enterprise functions
  • Ensure adherence to applicable laws, regulations, internal policies, and established legal and governance standards
  • Oversee outside counsel and legal service providers to promote high-quality, efficient, and cost-effective support
  • Develop and maintain legal policies, playbooks, templates, standardized contracts, and other resources that strengthen consistency and the control environment
  • Support regulatory examinations, audits, investigations, and interactions with government agencies and regulators, as appropriate
  • Collaborate with Finance, Risk, Compliance, Operations, Technology, Human Resources, and other stakeholders on enterprise initiatives and complex legal matters
  • Provide leadership, guidance, and mentorship to legal professionals and contribute to a culture of accountability, integrity, and operational excellence
  • Handle such legal and business matters as from time to time assigned by executive management

Qualifications:

  • Juris Doctor (J.D.) degree from an ABA accredited law school
  • Active California Bar membership in good standing, with no disciplinary history
  • Fifteen (15) or more years of progressively responsible legal experience, including significant experience at a major law firm, corporate legal department, financial institution, or a combination thereof
  • Substantial experience providing legal advice with respect to financial institution relevant matters, including, without limitation, mergers and acquisitions, securities law, corporate finance transactions, real estate finance transactions, and corporate governance matters
  • Demonstrated experience working directly with C-suite executives, Boards of Directors, and Board committees
  • Proven ability to lead and negotiate sophisticated transactions and communicate complex legal issues in clear, practical business terms.
  • Exceptional judgment, executive presence, and ability to balance legal risk with strategic and operational objectives
  • Strong analytical, problem-solving, critical thinking, and strategic planning capabilities
  • Ability to manage a diverse and complex workload effectively in a fast-paced, dynamic environment
  • Excellent written, verbal, interpersonal, communication, and negotiation skills
  • Outstanding organizational, time management, and follow-up capabilities
