Position Overview
The Senior Assistant General Counsel, Privacy, supports Exact Sciences’ U.S. operations, bringing expertise in U.S. privacy and data protection laws to address complex privacy issues impacting Exact Sciences’ global business. This role provides contract review and business guidance on data protection matters across multiple functions, including information technology, information security, research, medical affairs, marketing, clinical laboratory, and commercial teams. Based in Exact Sciences’ Madison, WI office, the position reports to the VP – Lead Counsel, Products and Healthcare Regulation.
Essential Duties
include but are not limited to the following:
- Serve as a subject matter expert in areas of data use and protection laws (including U.S. state and federal consumer protection and privacy laws) and provide practical advice that achieves business objectives.
- Demonstrate subject matter expertise by providing guidance using relevant data protection laws and regulations to support enterprise research in the U.S. and International markets.
- Support colleagues across the legal department in structuring, drafting, and negotiating transactional documents to respond to and support enterprise objectives.
- Provide legal advice to the Chief Privacy Officer and other members of the Global Privacy Office to streamline global privacy operations.
- Provide legal support and advice to the Chief Information Security Officer with respect to health information security matters, including cybersecurity incidents.
- Work closely with product counsel and product teams to guide product development and evaluate the impact of privacy laws, regulatory guidance, and enforcement actions.
- Drive high-profile and high-impact projects involving privacy analysis and compliance with cross-functional stakeholders across the business.
- Support members of the legal and business teams on privacy legal matters, including areas related to partnerships, acquisitions, integrations, and other business development opportunities.
- Help to develop and conduct general and role-specific privacy training across Exact Sciences as requested by the Global Privacy Office.
- Advise and counsel sales and marketing, business development, research and development, and other executives, managers, and directors of the company with respect to corporate transactional matters from a data protection standpoint.
- Advise and counsel on general corporate matters beyond privacy and data protection areas of law, as directed.
- Coach and supervise junior attorneys, including supporting their training and professional-development needs and interests, providing day-to-day oversight, and serving as a resource to enable them to perform their duties skillfully.
- Provide confident counsel and efficient support with an optimal balance of facilitating deals while managing risk.
- Manage work of outside counsel in support of the company’s activities.

- Ability to think quickly on your feet, convey grace under pressure, simultaneously manage workloads for multiple clients, and shifting priorities.

- Ability to listen and speak on the telephone and write simultaneously.
- Ability to operate telephone system and computer keyboard and printer.
Minimum Qualifications
- Bachelor of Arts (BA) or Science (BS) Degree.
- Juris Doctorate (J.D.) from an ABA-accredited law school.
- 5+ years working on Privacy matters in the healthcare industry, either at a law firm or in-house with a corporate law department.
- Strong knowledge of the HIPAA Privacy and Security Rule and U.S. state privacy laws.
- State bar membership.
- Must have strong communication skills.
- Must have healthcare industry experience; familiarity with laws and regulations that are implicated by healthcare commercial contracts.
- Proficiency with necessary software and IT tools, including Word, Excel, and Outlook.
- Authorization to work in the United States without sponsorship.
- Demonstrated ability to perform the Essential Duties of the position with or without accommodation.
Preferred Qualifications
- Familiarity with GDPR, UK GDPR, and other privacy laws outside of the United States.
- Expertise with the Telephone Consumer Protection Act and CAN-SPAM.
- Expertise in the commercial laboratory industry.

Salary Range:
$152,000.00 - $242,000.00
The annual base salary shown is for this position located in US - WI - Madison on a full-time basis. In addition, this position is bonus eligible, and is eligible to receive company stock upon hire as well as annually.
