Our client is a law firm.

The role

Raydar is recruiting for this role on behalf of our client. Take ownership of early-stage financing matters from start to finish, serving as a trusted legal adviser to both company and investor clients. The work blends deal leadership, drafting, financial modeling, guidance of less experienced lawyers and some origination of new work.

What you'll do

- Lead early-stage financing transactions, including SAFE, convertible note and priced equity rounds.

- Advise on and draft deal documents for both company-side and investor-side clients.

- Prepare entity formation, governance and organizational documents.

- Carry out due diligence and risk analysis on transactions.

- Assist senior lawyers and partners with day-to-day client requests.

- Own client relationships and build lasting working partnerships.

- Guide and develop junior lawyers and collaborate closely with paralegal staff.

- Help bring in new client work.

Requirements

What we're looking for

- 5 to 8 years of venture financing experience at a law firm.

- A record of running financings from beginning to end rather than only assisting, including direct management of client relationships.

- Hands-on experience with SAFEs, convertible notes, seed rounds and standard industry financing documents.

- Skill in preparing ownership projections and financing models that cover dilution protections, conversions and post-closing ownership percentages.

- A current law license in good standing; a Texas license is strongly preferred, though other states may be considered.

- Ability to run matters independently with little oversight.

- Willingness to teach and support junior colleagues.

- Clear, articulate communication and a collaborative, low-ego working style.

- Based in Dallas or Austin, Texas, and able to work from the office on the hybrid schedule.

Bonus points

- Background at a large law firm or well-regarded venture practice.

- Interest in or ability to originate new client business.
