Job Summary

CIVHC is looking for a highly organized and detail-oriented Senior Paralegal to provide comprehensive paralegal and legal operations support to the Legal and Compliance Department, with a primary focus on contract drafting and management, research, data privacy, and regulatory compliance. Under the supervision of the General Counsel, the ideal candidate will have strong contract drafting and lifecycle management skills, an understanding of health care and data privacy concepts, exceptional attention to detail, excellent organizational and communication skills, and the ability to manage multiple contracts, legal and compliance projects, regulatory requirements, and competing deadlines simultaneously. Working closely within the Legal and Compliance Department and across other departments and teams at CIVHC, this position ensures CIVHC remains a trusted steward of health care data while fostering a culture of integrity, accountability, and continuous improvement at every level.

Hybrid Work Model

This position is based in Denver, Colorado. Because CIVHC operates under a hybrid work model with a requirement of at least one in-office day per week (unless otherwise approved), candidates must reside within a commutable distance to the Denver metro area. 

Limited relocation assistance may be available for out-of-state candidates who intend to relocate to the Denver area.

Duties / Responsibilities / Essential Functions:

Under the supervision of the General Counsel: 

Responsibilities for this position may include, but are not limited to:

  • Drafts, reviews, revises, negotiates, and evaluates a broad range of contracts and related legal documents including Data Use Agreements (DUAs) with various clients such as academic institutions, state and federal agencies, and private entities.
  • Manages all phases of contract management at CIVHC including but not limited to: 
    • Reviewing contracts for completeness, consistency, use of approved language, required exhibits, signatures, dates, and other administrative requirements.
    • Identifying deviations from approved templates or standard contractual provisions and escalates substantive legal, regulatory, privacy, security, or business issues to the General Counsel and leadership.
    • Preparing contract exhibits, schedules, attachments, statements of work, order forms, and other supporting documentation.
    • Tracking redlines, comparison documents, issue summaries, and other negotiation materials.
    • Managing contract revisions and negotiation history and maintaining appropriate version control.
    • Coordinating contract reviews and approvals among the Legal and Compliance Department and relevant internal stakeholders.
    • Monitors contract renewals, expirations, amendment deadlines, notice requirements, and other significant contractual milestones.
    • Supports contract closeout activities, data destruction requirements, and ensures appropriate records are retained.
    • Maintains and administers CIVHC’s contract management system and other designated contract tracking tools.
    • Assists with developing standardized contract management policies, procedures, workflows, checklists, templates, and guidelines.
    • Recommends process improvements to increase contract efficiency, consistency, visibility, compliance, and risk management.
    • Oversees audits of contract files and databases to identify missing, outdated, or incomplete information and documents.
  • Conducts daily research and support on a wide variety of complex legal and compliance matters and issues. 
  • Provides paralegal support to the Legal and Compliance Department on matters involving federal and Colorado health care and data privacy laws, regulations, and regulatory guidance.
  • Monitors proposed and enacted Colorado and federal legislation, regulations, rules, and agency guidance impacting CIVHC and the Colorado All Payer Claims Database.
  • Supports internal and external audits including regulatory audits, government inquiries, complaints, investigations, and requests for information as directed by the General Counsel.
  • Maintains legal department files, corporate records, regulatory documentation, and other confidential materials for CIVHC and its related entities.
  • Assists with corporate compliance activities, including state filings, corporate documentation, and Board of Directors materials for CIVHC and its related entities.
  • Supports management of outside counsel matters by organizing documents, tracking deadlines, and coordinating communications as directed.
  • Assists with maintaining intellectual property records and other legal department documentation.
  • Maintains confidentiality and exercises appropriate discretion when handling sensitive legal, business, employee, client, and health data.

  • Excellent proficiency in Microsoft Office 360 programs and experience.
  • Working knowledge of health care law, health information privacy, data protection, and regulatory compliance concepts.
  • Familiarity with HIPAA, 42 CFR Part 2, and applicable Colorado privacy and health care requirements strongly preferred.
  • Strong discretion and ability to maintain confidentiality.

Education & Experience

Required:

  • Associate’s or Bachelor’s degree in Paralegal Studies, Legal Studies, Business Administration, Health Administration, or a related field.
  • Minimum of five (5) years of relevant paralegal, contract administration, contract management, legal operations, or related experience.
  • Demonstrated experience managing contracts through multiple stages of the contract lifecycle, including intake, drafting, review, negotiation, execution, renewal, amendment, and closeout.

Preferred (if any):

  • Paralegal certificate from an ABA-approved or otherwise recognized paralegal education program preferred.
  • Experience working in an in-house legal department, law firm, health care organization, nonprofit organization, data organization, or other regulated environment preferred.
  • Knowledge of Colorado and federal health care laws or regulatory compliance preferred.

Physical Requirements

This position primarily involves computer-based work in office and remote work environments. The employee must be able to perform the essential functions of the position, with or without reasonable accommodation. The role routinely requires communicating and exchanging information with others and using a computer and other standard office technology. The position may involve remaining in a stationary position for portions of the workday, moving within an office or meeting environment, and occasionally lifting or moving light office materials.

Compensation & Benefits

The salary range for this position is $95,000– $115,000, based on experience, education, and internal equity.

In addition, this position may be eligible for an organization-wide bonus if certain metrics are met by CIVHC.
