What you’ll do:
As a Senior Paralegal, you will serve as a key legal operations and corporate governance partner, supporting the Chief Legal Officer and cross-functional stakeholders across the organization. You will independently manage complex legal and corporate matters, drive process improvements, and provide strategic support on contracts, entity management, and regulatory compliance.
Responsibilities/Duties:
- Lead the administration and optimization of contract lifecycle management processes and systems, including LinkSquares, to enhance efficiency, visibility, and compliance.
- Manage the drafting, review, tracking, execution, and maintenance of a wide range of agreements, ensuring adherence to organizational policies and legal requirements.
- Conduct detailed contract analysis, identify legal and business risks, and recommend practical solutions to mitigate exposure.
- Support and participate in contract negotiations, including Non-Disclosure Agreements (NDAs), employment agreements, vendor contracts, amendments, and other commercial agreements.
- Serve as a trusted legal resource to business stakeholders, collaborating across departments to ensure contractual obligations align with organizational objectives and regulatory standards.
- Conduct advanced legal research and analysis, synthesizing findings into actionable recommendations for legal counsel and business leaders.
- Assist the Chief Legal Officer with legal project management, strategic initiatives, fact gathering, due diligence, and complex legal analyses.
- Prepare, review, and file corporate governance documents, including articles of incorporation, articles of organization, bylaws, operating agreements, board consents, resolutions, and related records.
- Maintain and oversee corporate records, governance databases, organizational charts, and legal document repositories to ensure accuracy, accessibility, and compliance.
- Coordinate annual reporting, business licensing, "doing business as" (DBA) filings, state registrations, and other corporate compliance requirements.
- Manage entity governance documentation and support board and committee activities through preparation of materials, meeting records, and related filings.
- Track and maintain intellectual property portfolios, including trademarks, copyrights, licenses, and related renewal requirements.
- Draft legal correspondence and communicate directly with outside counsel, regulators, business partners, and external stakeholders on legal and contractual matters.
- Identify opportunities to improve legal operations and implement scalable processes, templates, workflows, and best practices to increase organizational effectiveness.
- Support internal compliance initiatives, audits, and regulatory reviews as needed.
- Prepare executive-level presentations, reports, and analyses to support decision-making by senior leadership.
- Act as a proactive, self-directed professional who anticipates needs, solves problems independently, and drives legal matters to successful completion.
Who you are:
Qualifications:
- Bachelor's degree required; ABA-approved Paralegal Certificate or equivalent advanced paralegal training strongly preferred.
- 10+ years of progressive corporate paralegal experience, preferably within healthcare, life sciences, regulated industries, or similarly complex organizations.
- Demonstrated experience supporting senior legal executives and managing sophisticated corporate governance and contract administration responsibilities.
- Extensive knowledge of corporate law, business entity management, contract law, and corporate governance practices.
- Strong experience reviewing, negotiating, and administering commercial contracts and legal agreements.
- Experience managing contract lifecycle management (CLM) systems, preferably LinkSquares or similar platforms.
- Proven ability to independently manage complex legal projects with minimal supervision.
- Exceptional legal research, analytical, critical thinking, and problem-solving skills.
- Strong organizational skills with the ability to prioritize competing demands and meet tight deadlines in a fast-paced environment.
- Excellent written and verbal communication skills, including the ability to interact effectively with executive leadership, outside counsel, and business stakeholders.
- High degree of professionalism, discretion, and sound judgment when handling confidential and sensitive information.
- Advanced proficiency with Microsoft Office Suite and legal technology platforms.
- Detail-oriented, highly accountable, and committed to operational excellence and continuous improvement.
- Collaborative team player who thrives in a dynamic environment while maintaining the ability to work independently and take initiative.
