Vanguard’s Investment Stewardship program acts as a voice for our investors to promote strong corporate governance focused on long-term investment returns at the companies in which our funds invest. Our Investment Stewardship program is closely aligned with Vanguard’s core purpose “to take a stand for all investors, to treat them fairly, and to give them the best chance for investment success.” Our team supports this mission by engaging with executive leadership teams and boards of directors of the companies in which the Vanguard-advised funds invest, as well as voting at shareholder meetings to make sure that investors’ interests are always a priority.
In this role, you will lead a team responsible for enabling and supporting of Vanguard’s investment stewardship operational environment. As a recognized subject matter expert in proxy voting operations, you will execute the vision for Vanguard's stewardship operations, ensuring best-in-class governance, efficient workflow, and enhanced reporting capabilities. You will drive accurate and effective reporting for internal and external stakeholders, manage complex projects, and maintain strong working relationships with key partners. Additionally, you will stay updated on industry advancements and regulatory changes, ensuring Vanguard’s stewardship activities remain at the forefront of corporate governance practices.
Responsibilities
- Hires, evaluates, and supervises crew. Provides guidance and training as necessary to develop crew. Sets performance standards, reviews performance, and makes informed compensation decisions in accordance with all applicable Human Resources policies and procedures.
- Serves as a recognized subject matter expert in investment stewardship with a particular emphasis on global proxy voting mechanics and supporting technologies. Maintains a high level of expertise by participating in industry events and anticipating impact to Vanguard’s investment stewardship program.
- Executes the vision for Vanguard's investment stewardship operational environment and technology platforms to ensure best-in-class governance, efficient workflow, and enhanced reporting capabilities for Vanguard’s stewardship activities. Develops, implements, and monitors long-term technology and process solutions to advance the impact of Vanguard’s corporate governance activities. Works closely with internal and external partners, to achieve department goals.
- Maintains awareness and promotes adoption of global industry and technological advancements relevant to corporate governance and proxy voting. Maintains awareness of potential external data solutions to support the team’s policy research and development and assist with workflow prioritization efforts. Partners with Legal and Compliance to understand relevant regulatory reporting changes and other matters related to proxy voting activities. Recommends changes to senior leadership as necessary.
- Drives accurate and effective reporting for the Vanguard Funds’ boards, Investment Stewardship Oversight Committee, and internal management reporting. Drives accurate and effective global regulatory reporting and reporting for other external stakeholders.
- Manages complex projects to ensure project objectives are met. Plays a critical role in maintaining strong working relationships with other stakeholders to present high-impact analyses, findings, and recommendations.
- Contributes to internal training on Vanguard’s global investment stewardship program, especially the technical environment. Ensures that new policies and/or procedures are communicated in a clear, concise manner.
- Participates in special projects and performs other duties as assigned.
What it takes:
- Minimum of eight years related work experience. Proxy vote operations experience and supervisory experience preferred.
- Undergraduate degree or equivalent combination of training and experience. Graduate degree preferred.
- Expertise in Investment Stewardship and Proxy Voting Operations.
- Strong relationship and stakeholder management skills. With an ability to balance external and internal business partners.
- Effective project-management experience.
- People leadership experience preferred
- Risk and controls experience a plus.
