You will join a dynamic and collegial team of legal professionals in the Legal Department and be involved in a wide range of activities working to advance strategic priorities while ensuring proper risk management. Job Responsibilities

In this Senior Counsel role, you will be a member of the Treasury & Corporate Securities team in Toronto. You will provide advice in respect of public reporting and disclosure matters for the enterprise. You will also be involved in supporting the Bank's wholesale funding transactions (including equity and debt security issuances). The role is intended to be dynamic, with the successful candidate offering support to multiple legal department teams on a variety of public reporting and disclosure issues for all business segments. The role provides an opportunity to work in an exciting, important and rapidly evolving field, while gaining exposure to a range of stakeholders and leaders, both within TD Legal and across the enterprise.

The general accountabilities of the role include, but are not limited to:

  • Researching, advising and providing oversight in connection with public reporting and disclosure obligations and goals for business lines, functions and/or for the enterprise as a whole.

  • Preparing and/or reviewing key public disclosure documents for the Bank.

  • Acting as legal lead on a variety of capital markets transactions and securities issuances on behalf of the Bank, including public offerings, private placements, ABS transactions, etc. in Canada, the U.S. and abroad.

  • Contributing to high priority special projects and other Legal Department initiatives, including working collaboratively with other members of TD Legal to deliver the highest quality of service.

  • Assisting with knowledge management in respect of core financial disclosure advice and other knowledge assets.

  • Providing oversight of external counsel performing work in areas of responsibility.

  • Assisting with other duties and tasks of the Treasury and Corporate Securities team as needed.

Job Requirements

  • A law degree from an accredited law school and qualified to practice law in Canada.

  • 7+ years relevant experience practicing law in private practice or in-house roles, preferably with broad corporate securities law experience.  Familiarity with U.S. securities law would be an asset (though not a requirement). 

  • Familiarity with the Canadian securities law disclosure regime, and experience providing advice to publicly listed clients on core reporting documents (MD&A, Proxy Circular, Annual Information Form, etc.).

  • Experience working on a variety of capital markets transactions, including public offerings and private placements.

  • Contribute to high-priority TD Legal Department initiatives, including knowledge management and workflow improvement.

  • Build and maintain collaborative working relationships with internal and external business and corporate area partners.

  • Superior verbal and written communication skills and ability to provide advice in a clear, concise and time-sensitive manner.

  • Strong organization skills and ability to work in a fast-paced, detail-oriented environment and manage multiple deadlines and priorities.

  • Ability to think independently and critically, and make risk-based decisions.

  • Ability to stay energized, productive and focused in the face of challenges, ambiguity, change or strenuous demands, including the ability to create a supportive environment that helps others become more resilient and productive.
