The Senior Advisor – Power Commercial & Contracts is responsible for leading the commercial structuring, evaluation, negotiation, and risk management of power offtake, transmission, and trading arrangements supporting the Group’s renewable energy, energy transition, and strategic power import initiatives.

The role serves as the principal commercial senior advisor on long-term and short-term Power Purchase Agreements (PPAs), power trading arrangements, wheeling and transmission agreements, and other commercial frameworks required to develop, finance, and deliver large-scale power infrastructure projects.

The position plays a critical role in supporting utility-scale renewable energy developments, cross-border power transactions, and regional interconnection opportunities by ensuring that commercial arrangements are bankable, commercially competitive, appropriately risk-balanced, and aligned with the Group’s strategic objectives.

Responsibilities

Responsibilities & Duties:

  1. Power Offtake & Commercial Structuring: 

  • Lead the commercial structuring, negotiation, review and execution of:

    • Long-term Power Purchase Agreements (PPAs)
    • Short-term and interim power supply agreements
    • Corporate PPAs
    • Back-to-back PPAs
    • Electricity trading agreements
    • Energy supply and offtake agreements
  • Develop commercially viable and bankable transaction structures that support project financing requirements and long-term revenue certainty.
  • Ensure alignment between generation, transmission, trading, and offtake agreements to create integrated and bankable commercial frameworks.
  1. Power Transmission, Wheeling & Cross-Border Commercial Arrangements

  • Lead the commercial assessment, structuring, negotiation, and management of transmission and network access arrangements supporting domestic and cross-border power projects.
  • Evaluate and negotiate commercial terms relating to:
    • Transmission Service Agreements (TSAs)
    • Wheeling arrangements
    • Cross-border transmission access rights
    • Interconnection agreements
    • Capacity reservation agreements
    • Transmission Use-of-System (TUoS) charges
    • Grid connection agreements
    • Power balancing and settlement mechanisms
  • Assess the commercial viability and competitiveness of alternative transmission solutions, including dedicated transmission infrastructure, shared transmission systems, regional interconnection networks, and third-party transmission service providers.
  • Lead commercial engagement with utilities, transmission system operators, regional interconnection entities, regulators, and other relevant stakeholders.
  • Evaluate and mitigate transmission-related commercial risks including congestion, curtailment, network availability, system losses, tariff changes, outages, and regulatory developments.
  • Support the development of integrated commercial structures linking generation assets, transmission infrastructure, power trading arrangements, and end-user offtake obligation.
  1. Commercial Risk Management

  • Identify, assess, and mitigate commercial and contractual risks associated with power offtake, transmission, and trading arrangements.
  • Lead commercial evaluation of:
    • Pricing and tariff structures
    • Indexation and escalation mechanisms
    • Volume and availability obligations
    • Curtailment and dispatch risks
    • Grid and transmission constraints
    • Credit and counterparty risks
    • Change-in-law provisions
    • Force majeure events
  • Develop commercial risk mitigation strategies that support project bankability and protect shareholder value.
  1. Project Finance & Bankability Support

  • Support development teams, Corporate Finance, and external advisors in structuring bankable revenue and transmission frameworks for large-scale infrastructure projects.
  • Ensure consistency between commercial agreements, project financial models, financing assumptions, and lender requirements.
  • Support lender due diligence activities and financing negotiations by providing commercial and contractual expertise.
  • Advise management on the impact of commercial arrangements on project economics, valuation, financing capacity, and investment returns.
  1. Capability Development & Knowledge Transfer

  • Support the development of the Group’s internal commercial contracting and power markets capabilities through structured coaching, mentoring, and on-the-job training of less experienced employees.
  • Provide guidance and coaching to Bahraini professionals and junior team members in areas including Power Purchase Agreements (PPAs), Transmission and wheeling arrangements, Commercial risk assessment, and Contract negotiation and administration. 
  • Lead knowledge transfer activities with the objective of developing sustainable in-house power commercial capabilities.
  • Foster a culture of continuous learning, professional development, and knowledge sharing across the department.
  1. Governance & Executive Support

  • Prepare commercial assessments, negotiation strategies, executive briefings, and decision papers for senior management, steering committees, investment committees, and boards where required.
  • Ensure compliance with corporate governance requirements, approval authorities, and internal policies.
  • Provide strategic commercial advice to the Group VP – NES Program Implementation and the Group Chief Strategy Officer on major transactions and investment opportunities.
  1. Market Intelligence & Commercial Strategy

  • Monitor developments in regional and international electricity markets, power trading frameworks, transmission regulations, and renewable energy procurement models.
  • Evaluate emerging commercial structures and recommend innovative approaches to improve project competitiveness, affordability, reliability, and bankability.
  • Maintain awareness of market practices relating to utility-scale renewable energy projects, cross-border electricity transactions, and regional power market development.
Qualifications
  • Required Qualifications:
  • Bachelor’s degree in Engineering, Economics, Business, Finance, Energy Systems, Law, or a related discipline.

  • Master’s degree or professional qualification in Commercial Management, Energy Economics, Law, Project Finance, or a related field is preferred.

  • Required Experience: 
  • Minimum 10–15 years of relevant experience in power, utilities, infrastructure, energy trading, project finance, or energy project development.

  • Demonstrated experience supporting the commercial development, structuring, negotiation, or management of major infrastructure projects with capital values exceeding US$300 million, including experience on multi-billion-dollar projects.

  • Proven experience in negotiating and structuring:

    • Utility-scale PPAs

    • Corporate PPAs

    • Power trading agreements

    • Cross-border power supply arrangements

    • Transmission service agreements

    • Wheeling arrangements

    • Interconnection agreements

    • Complex multi-party commercial structures

  • Experience in renewable energy, power generation, transmission, regional interconnections, or strategic energy infrastructure projects is required.

  • Experience in cross-border power transactions and regional electricity markets is highly desirable.

Skills Required

  • Bachelor's degree in Engineering, Economics, Business, Finance, Energy Systems, Law, or a related discipline
