Securities & Governance Paralegal
Ibotta is seeking a Securities & Governance Paralegal to join our innovative team and contribute to our mission to Make Every Purchase Rewarding. The individual in this role will play a pivotal role in supporting our in-house legal team, finance department, and other executives. Reporting directly to our Chief Legal Officer, the Securities & Governance Paralegal will provide comprehensive assistance across a wide spectrum of areas, including public company processes, securities law compliance, board of directors activities, corporate transactions, legal entity management, and various general corporate projects.
This position is located in Denver, Colorado as a hybrid position requiring 3 days in office(Tuesday, Wednesday, and Thursday). Candidates must live in the United States.
What you will be doing:
Securities Laws Compliance
Support the preparation and filing of SEC reports, including Forms 10-K, 10-Q, 8-K, proxy statements, and other periodic filings.
Draft and provide comprehensive legal and filing support for Section 16 reporting and management of EDGAR codes.
Manage and coordinate compliance with NYSE listing standards.
Provide legal support for insider trading policy compliance and Rule 10b5-1 plans, including maintaining blackout lists and overseeing the pre-clearance process.
Coordinate with the stock transfer agent.
Maintain the annual calendar of events.
Corporate Governance Support
Maintain corporate record books.
Assist in preparing and coordinating materials for board of directors and board committee meetings, including managing the board portal platform.
Manage the annual board self-evaluation process and D&O questionnaire process.
Maintain Corporate Governance documents such as charters, governance guidelines, and director qualification standards.
Other Functions
Coordinate with the team and assist with budget management.
Compile, proofread, and edit various legal documents including contracts, leases, licenses, and insurance policies, while also supporting the contract management process
Participate in a range of legal initiatives beyond corporate governance and SEC responsibilities, addressing diverse legal tasks as assigned

What we are looking for:
3+ years of hands-on experience working as an in-house corporate paralegal, preferably in a public company, or comparable experience in a law firm.
Bachelor's degree and/or completion of a paralegal studies program.
Experience using Diligent or similar board platforms, as well as familiarity with Workiva or other Section 16 reporting tools.
Proven experience collaborating successfully with cross-functional stakeholders, including senior executives (e.g. Executives, Senior Leaders and the Board of Directors)
Excellent written and verbal communication skills
High-level proficiency in drafting, proofreading, and editing
Proven ability to prioritize tasks, manage projects effectively, and excel in dynamic environments with evolving demands.
