As Product Counsel for Meridian, you'll structure new offerings with product, engineering, compliance, and the executive team: scaffolding private-market securities products and transactions including primary offerings, company and fund secondaries, feeder and buyer aggregation vehicles, and broker-dealer-enabled execution. Your judgment will shape what we ship.

Responsibilities

  • Own legal product counseling for Meridian across design, development, launch, scale, and ongoing maintenance.
  • Advise on broker-dealer obligations end-to-end, including FINRA rules, Regulation Best Interest and suitability, private-placement due diligence, communications review, investor eligibility, AML/KYC, licensing, books and records, and supervisory frameworks, in close partnership with compliance.
  • Analyze product and transaction structures under the Securities Act, Exchange Act, Regulation D, Investment Company Act, Investment Advisers Act, state blue sky laws, and, where relevant, tender-offer and Regulation ATS requirements.
  • Own legal analysis for resale and transfer mechanics, including ROFRs, consent rights, transfer restrictions, solicitation, matching, compensation structures, and “effecting transactions” risk.
  • Build and maintain Meridian’s foundational legal and disclosure framework, including vehicle documents, product terms, risk disclosures, conflicts disclosures, and buyer and seller communications.
  • Design scalable legal review, approval, and escalation processes that preserve product velocity without weakening regulatory controls.
  • Drive alignment across product, engineering, compliance, business development, operations, and marketing; train teams and translate regulatory developments into concrete product requirements.

What We’re Looking For

  • JD and active bar membership in good standing, with 6–10 years of relevant legal experience.
  • Direct experience advising or working within a registered broker-dealer, ideally involving private placements, private securities, alternative investments, or secondary transactions. FINRA registrations—or willingness to obtain them—are a plus.
  • Deep fluency in the Securities Act, Exchange Act, Regulation D, FINRA rules, the broker-dealer regulatory perimeter, Regulation Best Interest and suitability, communications review, offering due diligence, and supervisory systems.
  • Strong understanding of the Investment Company Act, Investment Advisers Act, and private-fund exemptions. Experience with private-fund interests, ROFR and transfer mechanics, tender-offer analysis, state blue sky laws, or marketplace and ATS regulation is especially valuable.
  • Product counseling experience in fintech, trading or marketplace infrastructure, venture capital, private funds, or another tightly regulated financial product.
  • Proven ability to own complex initiatives, make calls in ambiguous environments, and convert legal analysis into concrete product and operational requirements.

Skills Required

  • Juris Doctor degree
  • Active bar membership in good standing
  • 6-10 years of relevant legal experience
