Why we need you

This position is responsible for overseeing corporate governance and related management operations, with a primary focus on organizing and managing key corporate meetings such as shareholders’ meetings, board of directors’ meetings, and executive committee meetings for OPN Holdings and its Japanese subsidiaries. The role acts as a critical bridge between management and business functions, contributing to the optimization of the company’s overall corporate structure. Responsibilities also include investor relations support, document management, and streamlining approval processes. The manager will work closely with executives and stakeholders both domestically and internationally. 

What you will be doing

Governance & Meeting Management

  • Convening, managing, and preparing minutes for shareholders’ meetings (Holdings and Japanese subsidiaries) 
  • Scheduling, convening, and preparing minutes for board of directors’ meetings
  • Coordinating and preparing minutes for executive committee meetings (mainly APAC)
  • Interpreting articles of incorporation, shareholders’ agreements, and corporate law (liaison with external counsel and statutory auditors)  
  • Managing corporate registrations (liaison with judicial scriveners)  

Strategic Planning

  • Reviewing and designing the company-wide stock option program
  • Formulating governance policies for overseas subsidiaries (including the U.S.)
  • Supporting structuring of new investment projects  

Investor Relations (IR)

  • Responding to ad-hoc IR requests
  • Supporting the preparation of investor communications and letters  

Document Approval & Process Management

  • Updating and operating the approval matrix  
  • Reviewing and redesigning internal approval workflows  
  • Assigning and tracking Jira tickets  
  • Managing and archiving executed documents  

Executive & Departmental Coordination

  • Sharing and following up on board resolutions across the organization  
  • Coordinating with executives, legal, finance, and other departments  
  • Proposing and executing improvements in corporate operations  

You

  • 5+ years of hands-on experience in corporate governance and management at a listed company or equivalent organization 
  • Proven track record in managing corporate meetings (board of directors, shareholders’ meetings, etc.)
  • Strong cross-functional coordination, leadership, and project management skills
  • Flexible and adaptable in multicultural work environments 
  • Proactive in identifying issues and driving solutions independently 
  • Strong execution skills balancing accuracy and speed 
  • High level of confidentiality awareness and professionalism
  • Thai Native level and English Business level (reading, writing, and conversation)  

Nice to Have

  • Japanese Native or Business level (useful for managing key corporate meetings and Japanese subsidiaries)
  • Experience in IR activities and external communications 
  • Cross-border work experience 
  • Familiarity with Jira, Confluence, and other workflow tools
