The role
Raydar is recruiting for this role on behalf of our client. Lead a transactional practice focused on technology and intellectual property work, serving as senior deal counsel while recruiting and developing attorneys. The role blends negotiation, diligence methodology, client advisory work and collaboration with engineers on process automation.
What you'll do
- Serve as lead negotiator on high-stakes commercial technology agreements, including collaborations, licenses and technology provisions within acquisitions.
- Set the methodology for intellectual property review in investments and acquisitions, covering ownership history, open source use and change-of-control provisions.
- Recruit, staff, coach and manage a growing group of attorneys while holding a consistently high quality standard.
- Act as a trusted advisor to senior client stakeholders such as in-house counsel, executives and board members.
- Collaborate with engineers to convert practice knowledge into automation and tooling.
- Take on the most difficult questions and deliver clear, decisive recommendations.
Requirements
What we're looking for
- Law degree and active bar membership in good standing.
- 12+ years of experience in technology and intellectual property transactions.
- Substantial experience reviewing IP assets for investors and companies alike in financings, acquisitions, divestitures and spin-offs.
- Working knowledge of technology contracting, including software licensing, cloud service terms, data and AI provisions, open source and trade secrets.
- Fluency with IP representations, warranties and disclosure schedules.
- Track record of leading and developing attorneys, beyond simply allocating deal work.
- Background at both a law firm and an in-house department.
- Willingness to take firm positions on unclear questions of law.
