About the Position:

The Paralegal provides experienced, high-level legal and operational support to the Legal department across a broad range of governance, corporate, commercial, litigation and compliance matters.

This role will work closely with attorneys, business leaders, and cross-functional teams to manage legal processes, maintain corporate and regulatory records, coordinate filings, conduct research, and ensure legal and compliance matters are completed accurately and efficiently.

The successful candidate will be a highly experienced and resourceful paralegal who can independently manage complex assignments, establish and improve legal processes, anticipate needs, and operate effectively in a fast-paced and highly technical environment. This role requires exceptional attention to detail, judgment, organization, confidentiality, and the ability to manage multiple high priority matters with limited supervision.


Responsibilities:

Corporate/Litigation

  • Support corporate governance activities, including preparation and maintenance of corporate records, resolutions, consents, minutes, and other governance documentation for the Company and its subsidiaries.
  • Maintain corporate books, organizational records, entity information, and other legal documentation for the Company and its subsidiaries.
  • Assistwith formation, qualification, maintenance, restructuring, and dissolution of legal entities.
  • Prepare and coordinate state registrations, annual reports, business licenses, and other corporate filings, including the Company’s proxy statement.
  • Maintain calendars and tracking systems for corporate filing deadlines and recurring legal obligations for the entire legal department.
  • Work with the Office of the CEO to support Board of Directors and committee activities as needed, including preparation, organization, and maintenance of meeting materials and records.
  • Coordinate requests for corporate records, certifications, organizational documents, and related information.
  • Support corporate transactions, acquisitions, integrations, reorganizations, and other strategic initiatives as needed. 
  • Assistattorneys with internal investigations, litigation, claims, subpoenas, and other legal matters.
  • Assistwith discovery, document production, and responses to subpoenas or information requests.
  • Manage contract workflow, signature processes, document routing, and executed agreement storage.
  • Track key contractual dates, renewals, expirations, notice requirements, and other obligations.
  • Coordinate with internal stakeholders to obtain required information, approvals, and documentation.
  • Support attorneys with contract research, due diligence, and preparation of transaction materials.

 

Legal Operations

  • Develop,maintain, and continuously improve Legal department processes, workflows, templates, and tracking systems.
  • Maintain organized electronic legal files, records, and document repositories.
  • Coordinate with Financeregardingoutside counsel invoices, legal spend, purchase orders, and budget tracking.
  • Assistwith management of outside counsel and other legal vendors, including engagement documentation, billing, and records.
  • Identifyopportunities to automate, streamline, and improve recurring legal processes.
  • Establish documentation and processes that enable the Legal function to scale as the organization grows.

 

Cross-Functional Partnership

  • Work closely with legal department, and other functions to coordinate legal and compliance matters.
  • Serve as a knowledgeable point of contact for routine legal processes and requests.
  • Communicate legal process requirements clearly and professionally to internal stakeholders.
  • Proactively follow up on outstanding actions, approvals, documents, and deadlines.
  • Build strong working relationships across the organization whilemaintainingappropriate confidentialityand discretion.

Requirements:

Required

  • Bachelor's degree, associate degree, paralegal certificate, or equivalent combination of education and significant relevant experience.
  • 8+ years of progressive paralegal or comparable legal experience, preferably within a corporate legal department, law firm, or highly regulated organization.
  • Demonstrated experience independently managing complex legal and administrative matters.
  • Strong experience with corporate records, legal documentation, contracts, regulatory matters, or legal operations.
  • Demonstrated ability to manage multiple priorities, deadlines, and stakeholders with limited supervision.
  • Exceptional attention to detail and commitment to accuracy.
  • Strong written and verbal communication skills.
  • Strong organizational, research, analytical, and problem-solving skills.
  • Ability to handle confidential, privileged, and sensitive information withappropriate discretion.
  • Advancedproficiencywith Microsoft Office and document-management tools.
  • Demonstrated ability to learn and effectively use legal technology and systems.

Preferred

  • Experience within aerospace, defense, telecommunications, satellite communications, engineering, technology, government contracting, or another highly regulated industry.
  • Experience supporting corporate governance andmaintainingcorporate entities and records.
  • Experience supporting regulatory filings, licenses, permits, or compliance programs.
  • Experience supporting FCC, telecommunications, satellite, or other federal regulatory matters.
  • Experience with contract lifecycle management and contract-management systems.
  • Experience supporting mergers, acquisitions, integrations, corporate transactions, or due diligence.
  • Experience with legal operations, matter management, e-billing, and outside counsel management.
  • Experience supporting litigation, investigations, discovery, subpoenas, and legal holds.
  • Experience developing or improving processes within a corporate Legal department.
  • Paralegal certification from an ABA-approved or other recognized program.
