We are seeking a highly skilled paralegal who has experience in project finance with a particular emphasis on debt and tax equity financing in the renewable energy industry. The Paralegal will play a crucial role in supporting a variety of utility-scale energy storage and solar-plus-storage project financings, as well as providing support for corporate financings during a period of rapid company growth.  

Responsibilities: 

  • Legal and administrative support for debt and tax equity financings of utility-scale energy storage and solar projects;
  • Assist internal finance counsel and commercial finance team with preparing and closing project and corporate financings; including data room management, drafting and reviewing ancillary documents, preparing and coordinating disclosure schedules and closing deliverables, updating both internal and external closing checklists, soliciting feedback from internal subject matter experts, and assisting with compliance with corporate policies and precedent standards;
  • Assist legal, finance and accounting teams in managing Know Your Customer (KYC) processes;
  • Enhance internal transaction processes and policies, as well as ancillary document templates for efficiency and compliance;
  • Support compliance with financing post-closing obligations and the tracking of corporate guarantees and representation and warranty confirmations across the organization;
  • Prepare initial drafts, review and update various transactional and corporate governance documents (resolutions, certificates, articles of formation, operating agreements, etc.) with attorney supervision;
  • Assist with documentation and filings related to external counsel engagement, invoice approval, billing and vendor onboarding process;
  • Assist in providing general transactional, administrative and organizational support as needed.
  • Managing correspondence with and drafting of third party deliverables, including reliance letters, estoppels, and consents.
  • Prepare transaction-specific organizational charts and assist with corporate entity formation. 

Qualifications 

  • 5+ years of experience working in paralegal, law clerk or contract management capacity supporting renewable energy project financings;
  • Bachelor’s degree, Associate’s degree and/or Paralegal Certificate or other certification applicable to the role if required in the jurisdiction in which the candidate resides;
  • Ability to interact with people at all levels of the corporate structure, prioritize and handle numerous competing demands in a high-volume, fast-paced working environment;
  • Strong computer skills, including proficiency with Word, Excel and Power Point;
  • Proficiency working in SharePoint and other virtual datarooms;
  • Excellent organizational and planning skills with meticulous attention to detail and high quality of work product;
  • Exceptional written and verbal communication skills;
  • Strong interpersonal and diplomatic skills;
  • Highest standards of ethics and integrity;
  • Must have the ability to thrive in an entrepreneurial environment, including a demonstrated proactive work ethic, the ability to plan, oversee, and personally execute numerous projects simultaneously, work well under pressure, and adjust to changing priorities.  

Compensation and Location: 

Salary: A base salary commensurate with experience.
Bonus: An annual bonus will be awarded based on both individual performance as well as the overall success of the business.

Location: Remote (USA or Canada)Ability to work in the United States or Canada is a requirement. Preference may be given to candidates located in Austin, TX, Salt Lake City, UT, or Toronto, Ontario, or willing to relocate.
