About the Role
We are looking for an experienced Company Secretarial professional to join UEM Edgenta Berhad. In this role, you will lead key company secretarial functions across the Group, ensuring compliance with statutory and regulatory requirements while providing strategic governance support to the Board and senior management.
Responsibilities
- Lead the company secretarial function for UEM Edgenta Group and its subsidiaries, ensuring compliance with the Companies Act 2016, Bursa Malaysia Listing Requirements, Capital Markets and Services Act 2007, Malaysian Code on Corporate Governance (MCCG), and other applicable regulations.
- Act as the designated Company Secretary/signatory under the Companies Act 2016 for the Group where required.
- Plan, coordinate and manage Board, Board Committee, Annual General Meetings (AGMs), Extraordinary General Meetings (EGMs), and shareholders' meetings, ensuring seamless execution and timely communication of Board decisions.
- Lead the preparation of Annual Report secretarial sections, Circulars to Shareholders, AGM and EGM documentation, while coordinating closely with registrars, printers and other external stakeholders.
- Review, verify and ensure the accuracy of Board papers, resolutions, statutory documents, audited financial statements and other corporate submissions prior to submission to the relevant authorities.
- Oversee the maintenance of statutory registers, corporate records, minute books and governance documentation, ensuring proper record management and compliance.
- Drive continuous improvements in corporate governance practices, document management systems and compliance processes across the Group.
- Provide guidance and leadership to the Company Secretarial team while supporting cross-functional stakeholders on governance and regulatory matters.
- Undertake other company secretarial and corporate governance responsibilities as assigned.
Requirements
- Bachelor's Degree in Law/Corporate Administration/Business Administration or a related discipline.
- Professional qualification such as MAICSA/CGP (formerly ICSA) or equivalent.
- 7–10 years of relevant Company Secretarial experience, preferably within a listed company or public-listed group.
- Member of a recognised professional body and/or licensed to act as a Company Secretary under the Companies Act 2016.
- Strong working knowledge of the Companies Act 2016, Bursa Malaysia Listing Requirements, MCCG and other relevant corporate governance regulations.
- Excellent written and verbal communication skills in English and Bahasa Malaysia.
- Strong stakeholder management, interpersonal and influencing skills, with the ability to engage effectively with Boards, senior management and external regulators.
- Highly organised, meticulous and able to manage multiple priorities in a fast-paced environment.
Skills Required
