Role:
The role will oversee a broad range of general corporate matters, contract review and negotiation, dispute resolution, document management and other legal activities with accountability for meeting timelines, budgets and project objectives.
Key Responsibilities:
1. Contract Management & Transactional Support: Support business teams in reviewing and negotiating a variety of legal contracts, including:
- EPC (Engineering, Procurement and Construction) contracts
- O&M (Operations and Maintenance) contracts
- Joint venture agreements
- Debt financing arrangements
- Analyze complex transactions, including mergers and acquisitions and financial instruments, and provide clear, actionable legal advice to management.
- Review, develop, and maintain standardized legal templates and documentation.
2. Strategic Legal Advisory
- Provide strategic legal advice on key issues affecting Vena Energy’s operations in the Philippines.
- Advise on day-to-day corporate legal matters.
3. Dispute Resolution & Risk Management
- Advise and assist in handling potential and ongoing claims, disputes, and investigations.
- Conduct legal research to support business initiatives and mitigate risks.
4. Regulatory Compliance
- Ensure compliance with relevant laws and regulations, including:
- Renewable energy sector-specific regulations
- Anti-bribery and anti-corruption laws
Pre-requisites:
Professional Credential: Member in good standing of the Integrated Bar of the Philippines (IBP)
Experience:
- At least five (5) years of relevant legal experience in a law firm and/or as in-house corporate counsel
- Demonstrated experience handling complex commercial contracts, particularly:
- EPC (Engineering, Procurement and Construction) agreements
- Financing agreements
Industry Knowledge: Experience in the renewable energy or broader energy sector is a strong advantage
