Position Overview: The Manager of Legal and Compliance will manage the company’s legal affairs, providing strategic legal advice and ensuring compliance with all applicable laws and regulations. This role requires a strong foundation in corporate and commercial law, ideally within the sports or manufacturing industry. The Manager of Legal and Compliance will work closely with the executive team and serve as the primary liaison with outside counsel to handle specialized legal matters.

Key Responsibilities:

  • Legal Strategy and Counsel: Support the development and implementation of legal strategies that align with the company’s goals. Provide expert legal advice to the executive team on various legal matters, including contracts, compliance, intellectual property, and corporate governance.
  • Contract Management: Draft, review, and negotiate a wide range of commercial agreements, including supplier contracts, licensing agreements, partnerships, and distribution agreements. Manage contract reviews process.
  • Regulatory Compliance: Ensure the company’s compliance with federal, state, and local laws, including employment law, environmental regulations, and consumer protection laws, including GDPR. Stay current on legal developments in the sports industry and advise the company on potential impacts.
  • Intellectual Property Management: Work with outside trademark, copyright and patent attorney’s to oversee processes for the protection of the company’s intellectual property, including patents, trademarks, and copyrights. Manage IP litigation, licensing, and enforcement efforts, coordinating with outside counsel as necessary.
  • Risk Management: Identify potential legal risks and develop strategies to mitigate them. Provide guidance on risk management practices, including insurance coverage and liability issues.
  • Corporate Governance: Ensure compliance with corporate governance requirements. 
  • Litigation Management: Oversee potential litigation and dispute resolution efforts, serving as the primary liaison with outside counsel. Work with external legal teams to manage cases efficiently and develop strategies for litigation avoidance and alternative dispute resolution.
  • Liaison with Outside Counsel: Serve as the main point of contact for outside counsel, ensuring effective communication and collaboration. Manage relationships with external law firms to address specialized legal issues, control costs, and ensure high-quality legal representation.
  • Team Collaboration: Work collaboratively with other departments and senior management to ensure legal considerations are integrated into business decisions.

Digital Solutions Collaboration: collaborate with digital solutions team to build digital and automated legal processes.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active license to practice law in the state of Idaho (or eligibility for in-house counsel registration).
  • Minimum of 3 years of legal experience required (5+ years preferred), with a background in corporate and commercial. Experience in the sports, manufacturing, or consumer goods industries is a plus.
  • Proven ability to provide practical legal advice in a fast-paced, growth-oriented environment.
  • Strong negotiation, communication, and interpersonal skills.
  • Experience with litigation management, regulatory compliance, and corporate governance matters.
  • Ability to work effectively with cross-functional teams and senior management.
  • High ethical standards and a commitment to integrity.

Preferred Skills:

  • Experience in the sports industry, particularly in relation to product manufacturing and distribution.
  • Familiarity with international trade and compliance laws.
  • Strong business acumen with the ability to align legal strategies with business objectives.
