Overview
The Senior Paralegal, Securities will provide high quality paralegal services to the Senior Vice President, Associate General Counsel in the Corporate and Securities Legal Department. The major duties and responsibilities encompass board governance and federal securities law compliance for two public companies and their affiliates.
Job Description

  • Board governance, including:serving as the primary liaison between company boards and management
  • facilitating in-person and telephonic board meetings
  • preparing meeting agendas and assisting with the preparation, organization, and delivery of materials for board and board committee meetings
  • reviewing and revising committee charters and other corporate governance documents annually or as needed
  • Federal securities law compliance, including:preparing and filing all Section 16 filings (Forms 3, 4, and 5); maintain all EDGAR access codes and Section 16 records
  • documenting securities transaction pre-clearance requests and approvals
  • calendaring all Rule 10b5-1 plans for Section 16 filers
  • tracking annual equity award grants for Section 16 purposes
  • assisting with the preparation and filing of quarterly, annual, and periodic reports (Forms 10-Q, 10-K, and 8-K), including preparation of exhibit lists and exhibits
  • assisting with the preparation of annual proxy statements
  • preparing and managing annual D&O questionnaire process
  • assisting independent auditors with inquiries related to SEC and other filings
  • preparing and filing all NYSE-required reports, including Annual CEO Certifications, Annual and Interim Written Affirmations, and reports related to dividend declarations
  • facilitating and distributing meeting materials in connection with disclosure committee meetings
  • Perform other related duties as required and assigned

Ideal Candidate will have the following:

  • Bachelor's Degree from an accredited college or equivalent work experience
  • Paralegal certificate or equivalent pursuant to B&P §6450
  • Significant experience providing board governance support, including gravitas in dealing with board members and members of executive management
  • Significant experience with federal securities law compliance (Forms 3, 4, 5, 10-Q, 10-K, and 8-K)
  • Must be in compliance with California Business & Professions Code Sections 6450-6456 (Paralegal compliance)
  • NASDAQ Director's Desk or other board portal experience strongly preferred
  • Computershare Section 16 Manager experience strongly preferred
  • Must be highly proficient in Excel, Word, and PowerPoint
  • Must be a team player with strong attention to detail and the ability to work independently
  • Proven track record at delivering timely and accurate information in a fast-paced environment
  • Excellent critical thinking, problem solving, mathematical skills and sound judgment
  • Financial Services and, if possible, mortgage industry experience preferred
