What you will be doing

As of August 24, 2021, AmerisourceBergen requires all U.S. team members to be fully vaccinated and show proof of completed vaccine status at time of hire. In this key role, the Senior Counsel will provide legal advice to AmerisourceBergen's ever-growing Enterprise IT Procurement Team and will focus on negotiating a wide range of IT deals on behalf of the enterprise.

The ideal candidate is a skilled technology lawyer who understands the legal issues and can balance legal advice with pragmatic and strategic business-minded considerations in the technology and information security space.

This position is "office-flex", meaning that it is a hybrid of in-office (Conshohocken, PA or Carrollton, TX) and remote work capabilities.

  • Review and negotiate a wide range of complex, high-volume IT procurement deals across the enterprise. This includes software licensing, data licensing and subscriptions, website hosting and development, telecom, consulting, hardware purchases and leases, and other technology-related agreements. Contracts include MSAs, Statements of Work, License Agreements, SaaS and cloud agreements, Data Processing Agreements, etc.
  • Provide related guidance regarding domestic and international privacy regulations (GDPR, CCPA, CPRA, HIPAA, etc.)
  • Anticipate and guard against legal risks involving the Company, particularly regarding privacy compliance, information security and protection of IT assets
  • Counsel on contract interpretation and disputes
  • Review and negotiate information security addendum
  • Build strong client relationships across the enterprise
  • Develop new templates and implement efficiency measures as needed
  • Manage outside counsel and support staff
  • Seek out and accept developmental opportunities and willingly accept additional responsibility, challenging tasks, and/or projects


What your background should look like

  • Must have a minimum of 4 to 8 years of experience as a lawyer combined with specialized expertise in IT procurement, privacy, and information security/ Law firm experience and experience in-house is preferred
  • Law Degree - must be a graduate of an accredited law school and admitted into the state bar
  • This role is comparable to a senior associate or counsel in a law firm and is a lawyer who can do sophisticated work with minimal guidance and oversight from his or her manager in most instances
  • Strong negotiator and client partner
  • Excellent judgment and ability to resolve complex issues effectively
  • Strong technology, privacy, and information security legal expertise
  • Demonstrates confidence in work product and seeks guidance on specific, sophisticated issues
  • Exceptional drafting skills and able to communicate effectively both orally and in writing
  • Well-organized and efficient/ Able to effectively manage a large volume of work with minimal oversight
  • Able to provide contract interpretation counsel and legal advice directly to senior business leaders and decision-makers
  • Able to build strong relationships with diverse clients across the enterprise
  • Life-long learner of technology, privacy, and information security laws, trends, and best practices
  • Adept at using technical tools, including Word, Excel, PowerPoint, Microsoft Teams, and document sharing and e-signing tools
