Job Description

We are seeking a motivated global employment attorney with demonstrated employment law expertise and significant experience leading the employment law and workforce integration aspects of global mergers and acquisitions. The successful candidate will represent the voice of our Global Employment Law team throughout the global M&A lifecycle, working closely with key stakeholders across ServiceNow’s Legal, Global Talent, Corporate Development, Tax, and Integrations teams. This role can be based in Singapore, Santa Clara, or another ServiceNow office or it can be a remote position. This is an important opportunity to play a pivotal role on ServiceNow’s expanding legal team and to deliver thought leadership on challenging legal issues in an exciting, fast-paced environment.

- Help us build a culture of high performance and great inclusion.
- Deliver business oriented, risk-balanced, actionable legal advice on the full range of global employment law issues that may arise during the life of a deal, with focus on corporate strategy, deal structuring, diligence, negotiations, lawful engagement of employees across countries, and integration strategy.
- Manage outside counsel support of global M&A, and serve as liaison between outside counsel and ServiceNow.
- Advise on legal strategy for integration of global workforces, including engagement, local consultation requirements (including in relation to works councils), employee transfer requirements, and separation on a country-by-country basis.
- Prepare employment agreements, key employee agreements, separation agreements, non-compete agreements and other employment-focused instruments for use across the globe.
- Partner with the Global Talent organization from deal inception through post-acquisition integration to ensure our people strategy always reflects our core values. Fully understanding the legal requirements is the starting point – treating people beautifully and creating an amazing working environment is the end point.
- Create scalable and compliant processes and playbooks for M&A and post-acquisition integrations.
- When not leading M&A, drive global and cross-functional employment law initiatives in partnership with other members of the Global Employment Law team, Legal, and Global Talent.
- When not leading M&A, provide legal advice and counsel to the Global Talent Organization and other key internal stakeholders on employment law matters.
- Contribute to and influence the development of ServiceNow’s own Legal Services Delivery application where we envision, create and deploy workflows on the Now Platform to make our and our customers’ Legal Departments more effective. In short, help us make the world of work, work better for people.
Qualifications
To be successful in this role you have:
A strong work ethic, exceptional judgment, and uncompromising integrity
- Law degree with strong academic credentials
- 8+ years of global employment law experience at a top law firm and/or in-house legal department of a multi-national company; global M&A experience a must; high tech experience a plus,
- Good standing to practice law in your jurisdiction
- Excellent interpersonal skills and proven ability to build strong and deep working relationships with internal stakeholders over multiple geographical locations
- Experience project managing teams of law firm attorneys/outside counsel on M&A and other complex global projects
- Ability to understand challenging issues, assess risk and provide concise, actionable, business-focused legal and risk mitigation advice and counsel
- A practical, proactive, collaborative and business-focused approach to problem solving with the ability to make sound decisions and exercise good judgement
- Strong project management skills and the ability to work independently to handle multiple competing tasks simultaneously and thoroughly to closure
- Demonstrated global mindset and sensitivity to all cultures
- Global employment law advice and counseling experience in one or more jurisdictions preferred
- In-house experience preferred
