Are you an attorney with data governance, IP, and contracting skills who is looking to have an impact and work at a dynamic growth company? Roofstock is looking for a tech transactions and data management attorney to join our growing legal team.

 

This role is multi-dimensional – as our ideal candidate, you are knowledgeable, experienced, and passionate about (1) data use, governance, and information security; (2) negotiating tech transactions as well as myriad other commercial agreements that carry some IP element to them; and (3) IP law and counseling the business on how to use content derived from our contracts, our users, and other third parties in a way that will achieve our business clients’ goals while honoring our obligations and avoiding risk. A working knowledge of privacy would be a huge plus, but is not necessary. The person in this role will have the opportunity to revamp and create new programs within the company to manage our content and ensure that we are honoring our various obligations with regard to data and content from multiple sources.

What You Will Do:

  • Draft, review, and negotiate IP and commercial agreements (including software and content licensing agreements, SaaS and IaaS agreements, and complex data licensing agreements).
  • Develop information and content management systems to ensure proper data governance and the conscientious use of data (being mindful of the restrictions on any data set that we may have because of existing law or contractual obligations).
  • Provide legal and tech transaction support to the Data Science, Data Engineering and information security teams, as well as general commercial contracts support to various other teams for contracting with vendors in the development of creative content (e.g., marketing team).
  • Counsel internal clients on IP and data issues. 
  • Mitigate legal risks related to information security, IP, and data management.
  • Design, build, and improve legal department processes as we scale, especially with respect to identifying and obtaining IP rights, managing data, and honoring inbound data restrictions.
  • Collaborate on a wide range of intellectual property, regulatory, privacy, consumer protection, and other legal issues that shape our business and the entire FinTech and PropTech ecosystems.
  • Proactively identify, develop, and drive strategic projects aimed at improving efficiency of legal services and proactive risk management, including through new templates, trainings, and processes.

What You Bring With You:

  • 5+ years of relevant legal experience, ideally a combination of experience at a top tier law firm and in-house experience at a technology company. The more experience, the better.
  • Reviewing and negotiating technology licensing agreements and commercial contracts with vendors, sub-contractors, data providers, SaaS providers, content creators (e.g., for marketing).
  • Drafting and reviewing IP clauses in partnership agreements and conducting IP due diligence in M&A and other corporate deals.
  • Working on mitigating legal risks related to information security, IP, and privacy
  • Experience drafting and editing incident response plans, information security policies, terms of use, and other data protection policies.
  • Experience educating and counseling business clients on IP risk (copyright, trademark, patent, right of publicity, trade secret), and information security, data protection, data governance, and on content management.
  • Commercial awareness of and interest in real estate, and specifically, the single-family rental space.
  • Desire to take a significant role in shaping the future of a leading and dynamically growing prop tech startup.
  • Ability to translate complex legal concepts into actionable guidance for business teams.
  • Ability to prioritize and handle multiple inquiries and requests, supporting multiple cross-functional teams.
  • JD degree, excellent academic credentials, and admission to at least one US state bar.
  • Good sense of humor, collaborative work style, sound judgment, pride in your work, ability to identify problems and propose solutions to them, and a desire to work with a dynamic-growth company in the prop-tech space.
