LEGAL COUNSEL - BUSINESS LEGAL PARTNER
As we continue to grow our firm, we are currently looking for a Legal Counsel to join our office in Evanston, IL to support our client relationships and delivery. ZS is a global consulting firm with leading-edge analytics, technology and strategy expertise, creating solutions for clients that work in the real world. Our clients are in industries ranging from healthcare to high-tech to financial services and beyond. The ZS Legal Team offers a collaborative working environment to support ZS' fast-growing, innovative and cutting-edge services and technology products. We are looking for someone who is ready to partner with our business teams to cover all aspects of client engagement, including negotiating complex client transactions, developing legal frameworks for new ZS practice areas, and steering long-term projects while working with Senior Legal Counsel. The ideal candidate will have experience working on services and/or technology products contracts, an interest in mentoring others, and an entrepreneurial spirit to learn new areas of the law that support ZS' growing business.
RESPONSIBILITIES:
- Serve as a trusted business partner for ZS stakeholders that support our client engagements;
- Prepare review, revise and negotiate legal agreements to ensure the firm's obligations are compatible with management's philosophy;
- Engage with and mentor junior attorneys;
- Respond to issues as they arise in diverse matters affecting day-to-day business operations by assisting, advising, investigating, researching and resolving legal matters;
- Collaborate with others on the legal team and within ZS when subject matter expertise is required;
- Participate in structuring and negotiating commercial transactions and identifying potential risks and risk mitigation strategies and
- Develop legal frameworks for new practice areas.
QUALIFICATIONS:
- JD degree with strong academic background required;
- 5+ years of relevant work experience and bar admission in one of the 50 states;
- Significant experience drafting and negotiating a variety of commercial contracts, including services agreements;
- Superior oral and written communication skills;
- Motivation, personal initiative and strong team/interpersonal skills;
- Strong analytic skills and problem solving ability;
- Proven attention to detail and high level of accuracy;
- Excellent time management skills with the ability to prioritize deadlines and work independently in a fast-paced environment;
- Experience using practical business judgment and counseling internal clients to assess risk; and
- Enthusiasm for global collaboration.
Additionally, expertise in any of the following is particularly valuable:
- Technology licensing agreements;
- Commercial transactions experience, preferably as in-house counsel;
- Leadership and/or management experience;
- Healthcare regulatory experience; and/or
- Knowledge of the pharmaceutical industry and applicable regulatory framework.
ZS is a global consulting firm. Fluency in English is required; additional fluency in at least one European or Asian language is desirable.
