The Legal Counsel will assist the Head of Legal on all legal related matters of the bank in Switzerland.
Key Responsibilities
- Providing broad legal advice in a small team of two (mainly in banking, data protection, corporate, contracts and regulatory matters)
- Providing legal advice when approving and distributing financial products, developing new banking products or during implementation of new projects of the bank
- Reviewing, drafting and negotiating contracts (distribution agreements, contracts with market data providers, trading platforms and brokers, IT service providers and intragroup service agreements)
- Drafting and reviewing of corporate documents (including Minutes of Shareholders’ Meeting, extracts of the Board of Directors Meetings, organizational regulations, by-laws, internal policies and procedures)
- Dealing with requests of governmental authorities and drafting the correspondence with FINMA whenever related to corporate matters;
Supporting the front office with drafting of client documents - Leading the regulatory radar of the Bank and involvement in regulatory projects (provision of legal requirements and advising on the implementation process)
- Minor administrative duties, to the extent required (f.ex. filing documents, preparing presentations, organizing calls)
Qualifications - At least 2 years of experience in a legal role, preferably in the banking industry
Professional knowledge and experience regarding drafting, reviewing and negotiating contracts of interdisciplinary areas of law are a must - Good communication skills, teamwork, strong interpersonal, and social skills are required. This person will deal with people from different areas within the Itaú Holding from either Brazil, USA and Switzerland, including external law firms
- Knowledge about financial industry/market regulations, data protection legislation and corporate transactions is desirable but not a requirement
- Ability to work under pressure, handle deadlines and work in a very dynamic working environment
- Owner attitude towards his/her own projects
- Education: Master’s degree in law (Switzerland), admission to the Bar is a strong plus
- English is a must, Portuguese and/or German is a strong plus.
- Good analytical and organizational skills
- Ability and interest in working in an international environment
- Ability to work independently
