About the Role
We’re expanding the legal team at Flow, and we're looking for a Corporate and Commercial Counsel to join us as a true business partner. This is a great opportunity for a lawyer who wants corporate generalist exposure at a high growth startup—you'll anchor in corporate and commercial work while also touching brand, advertising compliance, real estate, landlord-tenant operations, permitting, and more.
Responsibilities
- Structure, draft, review, analyze, negotiate, and interpret a wide range of commercial agreements, including vendor agreements, construction and design agreements, events agreements and marketing agreements
- Partner closely with business teams to pair legal strategy to business strategy
- Support corporate aspects of business transactions, including by drafting corporate consents, assisting with post-closing integration, and more
- Maintain our complex corporate structure across Florida, Delaware, and international subsidiaries, including drafting written consents, officer certificates, board resolutions, and maintaining our entity org chart
- Coordinate with outside counsel on product and regulatory matters as needed
- Advise on operational legal issues across the business, including lease compliance and property-level matters
Ideal Background
- 2–4 years’ experience in general corporate or ECVC work in biglaw, or similar corporate and commercial in-house experience at a high-growth or venture-backed company
- Comfortable with multi-entity corporate structures and subsidiary governance
- \Wants to own work end-to-end and grow with a company, not just execute tasks
- Strong communication skills, both written and oral
- Admitted and in good standing with the state bar in the jurisdiction where the position is based (Florida or New York)

Skills Required
- 2-5 years' experience in general corporate transactional and commercial work at a top firm or comparable in-house experience
- Detail-oriented with a passion for organization
- Experience with commercial real estate, landlord-tenant law, or residential property operations
- Exposure to multi-entity corporate structures and subsidiary governance
- Self-starter able to manage agreements through their entire life cycle
- Flexible and able to set and meet deadlines in a fast-paced environment with shifting priorities
- Strong written and oral communication skills
- Highly ethical with ability to question and defend positions with an open mind
- Ability to coordinate with outside counsel on litigation, real estate closings, permitting, and regulatory matters
