This role will support StepStone’s Venture Capital and Growth Equity sector team within the Private Equity business, and report into the Deputy General Counsel for that sector. As an integral member of the Legal team, the person filling this role will be responsible for drafting and negotiating legal documentation with respect to the firm’s venture capital and growth equity investments, including primary and secondary direct investments, primary and secondary fund investments, and co-investment transactions. This is a hands-on role, with only certain aspects being outsourced to external counsel.
Essential Job Functions:- Work with other attorneys and team members in the Venture Capital and Growth Equity sector in structuring venture capital and growth equity investments
- Negotiate and draft documentation to execute (i) direct portfolio company investments, (ii) secondary purchases and sales of fund interests and shares in emerging companies, and (iii) co-investments
- Manage negotiation and execution of documentation, including term sheets and letters of intent, SAFEs, convertible notes, equity financing documents, partnership agreements, subscription documents, and side letters
- Review placement memoranda and partnership agreements for investments in venture capital and growth equity funds and prepare analysis regarding same for inclusion in investment memoranda or otherwise deliverable to clients
- Manage outside counsel in connection with select investment transactions, especially GP-led tender offers, continuation vehicles, and strip sales
- Monitor existing investment portfolio and manage disposition of investments
- Supervise paralegals, including in the negotiation of confidentiality agreements, closing-related matters, and other matters, as needed
- Special projects from time to time subject to availability (e.g., strategic transactions, process efficiencies, fiduciary counseling and training, regulatory filings, etc.)
- 4-year college degree required
- Must possess a law degree from an accredited and reputable law school, be admitted to an applicable state bar, and be in good standing
- Approximately 1 to 3 years of emerging companies/venture capital (EC/VC) and/or mergers & acquisitions (M&A) experience, whether in-house or at a reputable law firm
- Ability to work on a wide variety of venture capital/growth equity fund and direct investment transactions
- Professionally communicate with all levels of staff and external stakeholders
- Utilize effective time management skills to maintain a commitment to quality and attention to detail; ensure that all work is completed accurately and on time
- Foster a sense of teamwork, assisting others when needed/required; work collaboratively with attorneys supporting other asset classes to share best practices, provide coverage, etc.
- Flourish in a challenging, fast-paced, and professional environment with frequent shifts in priorities as business needs dictate

Salary Range - $150,000 - $175,000
The salary range is an estimate of pay for this position. Actual pay may vary depending on job-related factors that can include location, education, skill, and experience. The salary range does not include any benefits or other forms of possible compensation that may be available to employees.
