Job Role Summary:

We are seeking a corporate/securities attorney with strong research, communication and multitasking skills. The attorney will provide legal support for clients in our Finance, Human Resources, Investor Relations, Office of the Secretary, and Communications departments, as well as additional advice as needed for other departments such as Environmental, Governance and Sustainability, and Policy and Governmental Affairs.

This position will require analysis and advice on complex securities law questions involved in financial reporting and compliance, advice on corporate governance issues facing Stem, advice and oversight on securities transactions including public offerings, and advice and negotiation involving mergers & acquisitions transactions. The attorney will work in close relationship with assigned clients including senior management of the Company and with oversight from more experienced securities law attorneys where required.

Responsibilities:

  • Provide legal review and analysis of SEC filings, including Forms 10-K, 10-Q and 8-K reports, as well as proxy statements.
  • Advise on, and support, Stem’s compliance with applicable securities laws, including Regulation FD, Regulation G and other regulations applicable to Stem, as well as the requirements of the New York Stock Exchange.
  • Advise and assist on corporate governance issues, including interactions with proxy advisory firms and investors.
  • Provide securities, governance and disclosure advice to Stem’s various functional groups (e.g., Human Resources, Finance, Communications).
  • Handle day-to-day/routine legal issues in support of Stem’s functional groups.
  • Assist the Chief Legal Officer in recommending, developing and implementing procedures, practices and guidelines, including relating to corporate governance, disclosure, compliance, insider trading and related matters.
  • Advise and assist the Company on capital market and financing transactions, including SEC-registered offerings, commercial paper programs, and bank lines of credit.
  • Coordinate with, and assist, Finance, Human Resources and other functions in timely preparation of Board materials.
  • Internal transactional lawyer in various M&A transactions as required.
  • Coordinate with and oversee outside counsel, where counsel is retained.
  • Keep abreast of regulatory/legislative initiatives that could have an impact on the Company and its activities.
  • Develop and provide training in areas such as corporate disclosure obligations, insider trading, group structure, proper use of legal entities, and Code of Ethics.

Requirements:

  • J.D. from an accredited law school
  • Strong college and law school record (top 1/3 of class preferred)
  • Licensed to practice law in at least one state
  • Minimum of five (5) years of relevant work experience in a law firm and/or corporation dealing with securities regulations applicable to public companies.
  • Strong research and writing skills
  • Strong interpersonal and communication skills, including skills in making presentations to senior management.

Preferred Knowledge/Skills/Abilities

  • Corporate law, financial and governance matters
  • Extensive experience with securities regulations applicable to public companies
  • Experience with corporate governance best practices for tech public companies
  • Experience drafting complex disclosure documents as well as complex agreements such as merger and acquisition agreements
  • Demonstrated record of leadership and initiative
  • Industry experience (energy)

Salary Range$186,800.00 - $280,200.00
