Alaro City is a joint venture between Rendeavour, the largest new city and industrial park builder in Africa, and the Lagos State Government. It is one of the fastest growing real estate and urban development projects in Nigeria. RESPONSIBILITES

·       Draft and/or review legal documents, contracts, term sheets, offer letters, agreement to lease, deed of sublease, procurement agreement, utilities agreements, construction and infrastructure development, financing and other corporate documents etc.

·       Identification of potential risk factors for new and existing transactions and suggesting mitigation measures.

·       Provide litigation and court process drafting support to the Head of Legal.

·       Assist in the review of the Corporate Governance Handbook (CGHB).

·       Preparation of Board materials for Board meetings.

·       Taking of minutes of Board meetings.

·       Drafting and reviewing board resolutions and extracts.

·       Assist with company secretarial functions, such as statutory filling and updating company records on an ongoing basis in a timely manner (jointly with the Head of Legal).

·       Conduct and commission research and analysis of specific legal questions and preparation of information memoranda, opinions, position papers and, any other legal research as may be required.

·       Monitoring Nigerian legislation as well as advising on the impact of existing and newly enacted legislation on the Company’s business.

·       Following up and ensuring that all board action points are met immediately after the Board meetings.

·       Ensuring that the central storage (Egnyte) for all key corporate documents are kept up to date (e.g. constitutional documents, title documents, board materials, key correspondence or letters, key financing and commercial agreements), jointly with the Head of Legal.

·       Provide sound advice on compliance matters to the various units and departments.

·       Assist with the preparation and submission of regulatory filings.

·       Undertake periodic audits to identify gaps in compliance processes.

·       Track and ensure timely remediation of compliance issue to ensure that the Company’s business is compliant with all relevant legal, regulatory and the contractual obligations.

·       Assist in developing, maintaining and updating internal compliance policies and procedures.

·       Coordinate and deliver compliance training sessions for employees on topics such as anti-bribery & corruption, anti-money laundering, conflicts of interest etc.

·       Serve as a point of contact for compliance-related questions and guidance.

·       Assist in identifying and mitigating compliance and reputational risks.

·       Consistently complete tasks in accordance with agreed deadlines and to the highest quality standard, meeting or exceeding expectations of internal and external stakeholders; and

·       All other duties and responsibilities as assigned.

Team Leadership

·       Supervise, mentor, and develop  legal and compliance associates

·       In close collaboration with the Heads of Department manage the legal and compliance department's budget and resources


Requirements

REQUIREMENTS

Hard skills and experience:

  1. At least 15 years of core legal experience
  2. Must have been called to the Nigerian Bar

3.     Strong technical ability in real estate/property law, utilities (power, water, etc) and infrastructure, corporate/commercial law transactions

Soft skills:

  1. Excellent communication skills
  2. Task oriented, initiative driven, and enthusiastic

3.     Mature, pragmatic and flexible approach, strong commercial judgment

4.     Great attention to detail

5. Good planning and organizational skills

6. Excellent report writing and documentation skill

7. Good IT skills

8. Good team player
