highly motivated, dual-qualified junior professional to anchor our legal
compliance, contract management, and secretarial tracks.

Job
Purpose
The
ideal candidate will manage a dual portfolio cutting across corporate
secretarial governance and commercial legal workflows. Working closely with
senior leadership and external legal counsels, you will ensure the company
remains fully compliant with the Indian Companies Act, 2013, while proactively
shielding the organization from commercial risks through meticulous contract
management and legal research.
Key
Responsibilities
1.
Company Secretarial & Corporate Governance (Primary)
- Board & General
Meetings: Assist in organizing Board Meetings,
Committee Meetings, and Annual General Meetings (AGMs); draft
comprehensive agendas, clear notices, detailed board notes, and precise
minutes.
- Statutory Filings: Prepare and file necessary statutory forms and annual returns (including
Form AOC-4, MGT-7, PAS-3, etc.) with the Registrar of Companies (RoC) via
the MCA portal.
- Registers &
Records: Maintain and update statutory
registers required by law, including the Register of Directors,
Shareholding, Allotments, and Register of Loans & Investments (Form
MBP-2).
- Corporate
Restructuring: Assist in compliance frameworks
involving capital changes, share subdivisions, ESOP tracking
administration, and corporate filings for subsidiary frameworks.
2.
Commercial Contracts & Drafting (Secondary)
- Contract Management: Review, draft, and negotiate baseline commercial agreements, including
Non-Disclosure Agreements (NDAs), Vendor Purchase Orders, Master Supply
Agreements (MSAs), and consulting contracts.
- Template
Standardization: Maintain and continuously update the
company’s internal repository of template legal agreements and boilerplate
vendor compliance parameters.
- Conditionality
Tracking: Monitor performance milestones,
technical gates, and contract execution paths to ensure cross-functional
alignment before financial payouts are triggered.
3.
Legal Research & Advisory (Secondary)
- Regulatory Tracking: Conduct ongoing research into company law, contract law, compliance
requirements etc.
- Litigation
Monitoring: Draft summaries, compile tracking
documents, and coordinate case briefs for ongoing commercial or
contractual civil disputes.
4.
Intellectual Property (IP) & Patent Coordination (Secondary)
- Invention Disclosure
Management: Coordinate closely with the core
engineering and R&D teams to capture, document, and securely log
internal Invention Disclosure Forms (IDFs) for new eVTOL subsystems.
- Patent File
Coordination: Act as the primary internal point of
contact for external patent attorneys and IP law firms; compile technical
documentation and track the end-to-end lifecycle of patent applications.
- Timeline &
Docket Tracking: Maintain the company’s internal IP
master docket; proactively track critical statutory deadlines, including
provisional-to-complete filing windows, request for examination (RFE)
dates, and Office Action responses.
- Prior Art &
Landscaping Assistance: Conduct preliminary
prior art, novelty, and freedom-to-operate (FTO) searches using
open-source and specialized patent databases (like Google Patents, InPASS,
Espacenet) to assist senior leadership in development strategies.
- Trademark &
Design Maintenance: Support filings, evidence
compilations, and renewal tracks for corporate trademarks, brand assets,
and industrial design registrations.
Qualifications
& Educational Background
- Mandatory Dual
Qualification:
(i)Associate Member of
the Institute of Company Secretaries of India (ACS / CS Qualification); (ii)Bachelor
of Laws (LLB) from a recognized university.

their final membership numbers but having cleared all professional stages
are welcome to apply.

Skills & Competencies
- Core Legal
Knowledge: Strong grasp of the Companies
Act, 2013, Indian Contract Act, 1872, and related secretarial
standards (SS-1 and SS-2).
- Drafting and
Communication: Excellent command of written and
spoken English with the ability to translate complex statutory
requirements into clear, scannable legal narratives.
- Research
Orientation: Sharp diagnostic abilities using
legal databases (such as Manupatra, SCC Online, or MCA updates) to pull
relevant case laws and compliance rulings.
- Diligence and
Accuracy: Uncompromising eye for detail when
evaluating numbers across cap tables, board resolutions, and transaction
documents.
- Attitude: A high degree of curiosity, a sharp learning curve, and a collaborative
spirit suited for a fast-growing, innovative deep-tech environment.
Skills Required
- Associate Member of the Institute of Company Secretaries of India (ACS/CS qualification), or completion of all professional stages while awaiting final membership number
- Bachelor of Laws (LLB) from a recognized university
- 0-2 years of experience; entry-level or post-qualification candidates may apply
- Strong knowledge of the Companies Act, 2013, Indian Contract Act, 1872, and Secretarial Standards SS-1 and SS-2
- Excellent written and spoken English with strong legal drafting and communication skills
- Ability to conduct legal research using Manupatra, SCC Online, MCA updates, or comparable legal databases
- High attention to detail when reviewing cap tables, board resolutions, statutory filings, and transaction documents
- Strong research, diagnostic, collaboration, and learning abilities
