TAR develops, builds, owns, and operates fully islanded solar and storage campuses that deliver firm power to AI data centers, and every campus becomes real through a chain of transactions: land, offtake, equipment, and capital. As Head of Corporate Development, you own the capital and commercial transactions that get each campus financed, contracted, and built. You raise project equity and debt, negotiate offtake with customers, structure joint ventures and M&A, and form the entities that hold the assets, working directly with the founders. This is a head-of-function seat for a proven dealmaker: you run the first transactions yourself and build the function as the platform scales. The role is based in Austin, San Francisco, or New York, with travel to counterparties and the West Texas site as deals require.
ResponsibilitiesOwn project equity raises for campus SPVs: build the materials and the model, then run the investor process from first outreach through term sheets, diligence, documentation, and close.
Lead debt execution across construction and project-level facilities, federal credit programs, and investment tax credit (ITC) monetization, driving lenders and counsel from term sheet to close.
Structure and close project financing for gas generation assets alongside the solar and storage campuses.
Support the CEO on corporate equity raises, owning the model, materials, data room, and investor diligence.
Lead power purchase agreement (PPA) negotiation and structuring with data center customers, balancing price, tenor, and credit support against financeability.
Structure and negotiate joint ventures and partnerships with independent power producers (IPPs) and engineering, procurement, and construction (EPC) firms, from first conversation through definitive agreements.
Source, evaluate, and execute M&A across developers, land portfolios, and technology, owning valuation, diligence, negotiation, and integration.
Drive land acquisition and deal structuring for new campuses, forming the SPVs, offtaker vehicles, and project companies with counsel and tax advisors so every asset stays financing-ready.
10+ years in corporate development, investment banking, infrastructure private equity, or project finance, with significant experience in power or energy infrastructure.
Track record as the accountable deal owner on complex transactions taken from first conversation through close: capital raises, offtake agreements, joint ventures, or M&A.
Deep command of project finance structures: SPVs, non-recourse debt, tax credit monetization, and how commercial terms drive debt sizing and underwriting.
Experience negotiating long-tenor commercial agreements directly with counterparties and their counsel, PPAs or comparable offtake in particular.
Strong modeling capability: you build, audit, and defend the valuation and project finance models behind your own deals.
Proven ability to run multiple live transactions in parallel, directing external counsel and advisors on aggressive timelines.
Excellent written communication: investment memos, term sheets, and board materials that are precise and decision-ready.
Experience financing or contracting islanded, behind-the-meter, or single-offtaker assets outside the standard utility PPA mold.
Data center or digital infrastructure transactions on the offtake, capital, or M&A side.
Transaction experience spanning both renewables and gas-fired generation.
Familiarity with federal credit programs and government-backed financing for energy or critical infrastructure.
Existing relationships with the investors, lenders, IPPs, and data center operators active in US power, ERCOT in particular.

Skills Required
- 10+ years of experience in corporate development, investment banking, infrastructure private equity, or project finance
- Significant experience in power or energy infrastructure
- Track record owning complex transactions from initial discussion through close, including capital raises, offtake agreements, joint ventures, or M&A
- Deep knowledge of project finance structures, including SPVs, non-recourse debt, tax credit monetization, and debt sizing
- Experience negotiating long-tenor commercial agreements, particularly PPAs or comparable offtake agreements
- Strong financial modeling skills, including building, auditing, and defending valuation and project finance models
- Ability to manage multiple live transactions simultaneously and direct external counsel and advisors
- Excellent written communication skills for investment memoranda, term sheets, and board materials
- Experience financing or contracting islanded, behind-the-meter, or single-offtaker assets
- Experience with data center or digital infrastructure transactions
