Position Summary

This is an exciting time to join us as the General Counsel and play a vital role in the continued growth and maturation of our company. You will work closely with the CEO and company leadership, board and investors. You will be a key strategic partner in guiding our legal and compliance initiatives as we navigate the complex landscape of the healthcare ecosystem. You will provide legal counsel, key contracting work across a variety of teams, manage risk, and ensure regulatory compliance.

Responsibilities Include:

  • Build-out the in-house legal operations at Vivante, partnering effective with outside counsel where still appropriate

  • Further develop and execute the company’s legal strategy to support growth and innovation while ensuring compliance with healthcare and data privacy regulations

  • Draft, review, and negotiate a wide range of contracts, including commercial and partnership agreements (primarily with self-insured employers and payors), vendor agreements, and employee and advisor agreements

  • Protect and manage intellectual property assets, including patents and trademarks, with support from outside counsel

  • Manage and collaborate with outside legal counsel on risk and litigation matters, if necessary

  • Support business operations and strategic initiatives while balancing risk and compliance needs

  • Lead corporate governance activities such as board consents and corporate actions in partnership with the CEO, outside counsel, Board and investors

  • Stay updated on evolving healthcare regulations and advise on their impact on the company

Desired Qualifications

  • 12+ years of relevant experience at law firm and in-house counsel, preferably at an innovative healthcare company

  • Juris Doctor (JD) degree and Member of a State Bar in good standing

  • Strong knowledge of tech and healthcare laws and regulations, including ERISA, HIPAA, CCPA and data privacy, FTC, and CPOM laws

    • FDA knowledge is a nice to have

  • Excellent communication skills (verbal, written and through visuals) across various audiences - investors, clients, board members, and colleagues

  • Comfortable working in a fast-paced growth environment with the ability to adapt to changing priorities and deliver results

  • Experience in venture-backed companies and familiarity with fundraising and equity transactions is a nice to have
