The Role

Company Overview

Position Overview

As a member of Immunome’s contracts group, you will report directly to the Chief Legal Officer and will be an integral part of our Legal team, helping to grow and lead the contracting function.

The ideal candidate is goal-oriented, solutions driven, client-service focused and collaborative.  The candidate must also have excellent organizational skills, have experience with implementing and managing contract management systems, drafting and maintaining contract templates, and developing contract playbooks and other resources.  The Contracts Attorney will play a crucial role in ensuring the organization's legal interests are protected while facilitating effective business operations through comprehensive contract management.

Responsibilities

Contract Drafting and Authoring

  • Draft, review, and negotiate a variety of contracts, with a primary emphasis on master services agreements, manufacturing, supply and quality agreements, clinical trial agreements, consulting agreements, and confidentiality agreements.
  • Create clear and concise contract terms and parameters, minimizing risks and maximizing favorable outcomes for the organization.

Contract Review and Analysis

  • Conduct thorough review and analysis of existing contracts to identify potential legal issues, risks, and obligations while balancing business needs.
  • Collaborate with internal stakeholders to understand the business needs, and to analyze and assess the legal implications of contract terms and conditions.
  • Ensure contracts are consistent with company policies, legal requirements, and strategic objectives, escalating high-impact issues as appropriate.

Contract Management

  • Manage the end-to-end lifecycle of contracts, including drafting, negotiation, execution, and ongoing compliance.
  • Develop and maintain strong relationships with vendors and internal stakeholders to facilitate effective communication and dispute resolution.
  • Implement and maintain an effective contract management system.
  • Develop template agreements.
  • Develop contracts playbooks and other tools to facilitate contract review.

Legal Advisory

  • Provide legal guidance, solutions, and solutions-driven expertise to internal stakeholders on contract-related matters.
  • Advise the organization on legal issues concerning intellectual property, indemnification, limits on liability, confidentiality, data privacy, and other substantive legal matters impacting contract negotiations.
  • Develop training materials and deliver training presentations on contract matters.

Contracts Compliance

  • Monitor and enforce contractual obligations to ensure compliance with terms and conditions.
  • Collaborate with relevant departments to implement processes that support contract compliance and risk mitigation.

Requirements

  • A minimum of 10+ years of major law firm and/or in-house experience within the biotechnology or pharmaceutical industry, with a minimum of 5+ years as a contracts attorney.
  • JD from an accredited institution with active bar membership, preferably Washington.

Knowledge and Skills

  • AmLaw 100 law firm experience strongly preferred.
  • Background supporting commercial operations and commercial product contracting, preferred.
  • In-depth knowledge of contracts law, commercial transactions, and relevant regulatory frameworks.
  • Strong analytical skills, attention to detail and demonstrated ability to understand complex legal and business concepts.
  • Strong negotiation and communication skills.
  • Solutions-driven, collaborative, and comfortable in a fast-paced environment.
  • Strong teamwork and client service skills.
Washington State Pay Range
$282,383$359,161 USD
